I'm sure RGM will still hold this £400,000 until the Curzon IPO is confirmed. So if this IPO continues to be postponed then in my opinion RGM should still have that £400,000.

I have no problem with the offloading of all the UKOG shares because RGM have obligations (they needed £400,000 for Curzon IPO) + they have huge debts like their $1m YA loan + they may even have to pay 'Legacy hill' for their recent services + of course they need money for wages and other costs at RGM. So taking all the above into consideration then the offloading of the UKOG shares didn't surprise me.

Now an interesting from todays rns is: "and to progress the rationalization of our coal interests in the United States." Looking at investopedia "rationalization" basically means "reorginization". Now what i'm wondering is who will be paying Legacy hill for the work they are carrying out? Will it be paid by getting a share of the mines? Will Moscicki + RGM be paying them in cash? Of course i don't know this but i never get the feeling that Moscicki is ever dipping his hands in his own pockets to pay for anything. So maybe a good question for maybe Greets next week when he attends the investor evening, ask Mr Bell how are Legacy Hill being paid or their services? Might as well get to the point and ask him if it's RGM who are paying Legacy hill.

Why outrageous? Because that above quote that's just been posted on twit was a tweet done by the RGM CEO on 30th March 2017. RGM handed this Stephen Moscicki fortunes towards his rubbish coal projects and now rather belatedly the RGM chairman thinks Moscicki is useless. Strangely lots of PIs side with the RGM chairman and instead shift all the blame onto Stephen Moscicki. But to me all the blame lies with the RGM chairman because i'm sure lots of people approach this chairman looking for investments and it's up to this RGM chairman to do correct due dilligence and then not hand a single penny of shareholders money to those who he thinks are useless. Proper good due dilligence would've avoided these huge money coal investments with Stephen Moscicki. So most definately all this squandered money on the coal is the RGM chairman and his sidekick Scott Kaintzs fault.

(1) 20 Dec 2016: RGM did a placing to complete their £250,000 investment in Stephen Moscicki's coal company Carbon minerals corporation. This was to get a 20% stake in the Rosa coal mine. (2) 8 Feb 2017: RGM did a placing to complete their $150,000 investment in Stephen Moscicki's coal company Vali Carbon Corporation (20% stake) (3) 4 April 2017: RGM did a £320,204 placing. This placing money was given to Stephen Moscicki. The RNS says: "On 16th March, 2017 Regency announced an unincorporated Joint Venture ("JV") over a metallurgical coal property of approximately 6,500 acres in northeastern Alabama (the "Property") with a view to bringing it into early operation. The JV is in the proportions 25% Regency and 75% SM. A Supplementary Agreement has now been signed between the Company and SM pursuant to which Regency has contributed US$400,000 to the costs of acquisition, permitting, and preparation of the Property" .......................... (4) 5 April 2017: RGM took out a $1 million YA loan. The RNS says: "The purpose of the Placing is to enable the Company to develop its U.S. operations (so Bell means COAL) and to retire the entirety of its $381,625.21 existing debt." (5) 3 May 2017: RGM raised £306,000 in which Paul Johnson, Stephen Pearce and the rest of the boyz participated in a £306,000 placing. The RNS says this placing money would be used to speed up Stephen Moscicki's second coal project. 3 May RNS says: ·"Acceleration of the second project is considered advantageous as it will lead to immediate significant revenue and margin generation, will clear faces for subsequent highwall mining, and will allow the crystallisation of substantial offtake agreements; · To achieve the above and other purposes the Company has secured £306,000 of additional working capital through a placing with a small group of high net worth investors" .................................. Quite clearly from the above RGM were handing over huge amounts of money to Stephen Moscicki for his coal projects. Also highly likely that lots of the money from the exercised warrants were also handed over to Moscicki for the coal. Although not a peep from Bell's chums Winnifrith or Turney i do believe that all this money handed over to Moscicki was one of the biggest AIM shockers of the year. Especially so now that Bell (after he handed Moscicki the money) belatedly comes to the conclusion that Mr Moscicki is useless.

I know i state the obvious but if RGM have been offered terms to buy the whole of the rest the Rosa project then we can be pretty sure that Stephen Moscicki is no longer interested in it; also it would seem Legacy hill aren't interested in it. Bell and sometimes ourselves may sl*g Moscicki off but he obviously knows more about the coal industry than Bell and Kaintz; likewise the Legacy hill people know more about the coal industry than Bell and Kaintz. So if they aren't interested in Rosa then that should give Bell/Kaintz a good clue as to whether they should buy the whole of the Rosa mine.

I think i've heard Mr Bell (in interviews) on a couple of different occasions give a glimpse on how he does due dilligence. He says he gets RGM/RRR interns to number crunch the figures to see what the profits could be. If they come up with good numbers then the investment could be a goer.

After listening again i think i misunderstood and you may be right Joe. Bell says "We have since been offered terms to buy the whole of the rest of that project, we'll have to do some due dilligence to look at that" In the 25th November RGM rns it says: "Regency has signed a conditional binding Heads of Terms to acquire a 20% shareholding in CMC, a special purpose company formed to hold the Rosa Mine which is being acquired for an aggregate consideration of US$1.65 million payable US$25,000 monthly plus a royalty per ton produced" ........................................ Though Joe i think it would be very unwise for RGM to do that because from what Bell as already demonstrated he clearly knows very little about coal. So on that basis he probably will go for it.

No that £250,000 statement by Bell was rather misleading because glancing through the rnses since December 2016 RGM have raised and then sunk vast fortunes into Stephen Moscicki's underwhelming coal projects. When i get time later today or tomorrow i will list all the vast coal costs from the rnses.

To me in the interview his pitch on RGM came across as pretty uninspiring. I mean after being listed on AIM for 12 long years he's built next to nothing here. Infact in the interview his main promotion push was that RGM still own almost 7 million shares in UKOG and RGM are just about to invest another £400,000 in Curzon Energy which will take their Curzon Energy investment up to £575,000 and this will give RGM a 10% stake in Curzon when they IPO. Let's be honest if PI's like Curzon energy so much they will invest in them directly when they list. Also if PI's like UKOG so much they will be buy directly into them. I definately don't think they would invest in them through the backdoor route of RGM. The main topic PI's wanted to know about was what was happening with the COAL in America and Bell said it was a "work in progress". He said his partners are looking at some near producing assets (so that means at present they have nothing). He also said with his first £250,000 coal investment (or ROSA) somebody has made an offer to buy their stake in that. So i think i, Greets, everybody can forget about Rosa and the fictional on site Highwaller that was supposed to make fictional millions for RGM. I think Zac Mir was correct when he said that RGM was offputting to investors because RGM come across as a flakey company who are always flitting from one project to the next.

Taking account of the YA interest and the YA penalty for the recent partial prepayment, so RGM still owe YA around $770,000. Now with interest still racking up at around $7,000 a month and only 7 months of the loan left + YA are only allowed to convert a maximum of $200,000 into RGM shares a month. So with less than 7 months of the loan remaining then according to my calcs YA must soon start converting RGMs debt into RGM shares. Though of course RGM could sell some more UKOG shares and pay a little off the YA loan that way. Though of course if they do that they will incur another massive 20% penalty on whatever they pay.
