Nearly 10bn shares in circulation….thats getting on for 10 fold in just a few years. B

This is the real reason for the delay and suspension…

“The Company advises of advanced discussions with a strategic investor with substantial business activities in Africa and the Middle East who has expressed an indicative interest in making a significant investment in Westminster and to collaborate on business opportunities. The Board anticipates the regional expertise that the potential investor has to be of considerable benefit as opportunities within the territories continue to develop.

In addition, the Company advises that it is in the final stages of negotiating a significant offshore banking facility for project financing.”

It obviously has been conflated with accounts delay and the only conclusion I can draw is that the strategic investor is proving harder to nail down. Meaning they are skint.

It is no coincidence that all this happens after the Fee reduction announcement….

If you breakdown this note:

“As already notified in the AGM notice sent to shareholders on Thursday 4 December 2025, a separate general meeting will be held in the New Year with a resolution for the approval of the Report and Accounts. The Company will apply for the trading suspension to be lifted following publication of the 2025 Annual Accounts, which is expected early in the new year.”

Firstly, has the GM taken place……it says in “ the new year”… I suppose it didn’t say which year so is probably not a lie.

It says the Accounts will be published “early” in the New Year. Once again as it didn’t say what year Pete can say he hasn’t broken that promise either.

I struggle to understand how the FCA allow companies to just “lie”. Pete has said “ there WILL be a GM in the new year and it didn’t happen… surely he can’t just stay in his cave… and must update the shareholders on what the fook is going on. B

Think it had 6 months to defy ashes. Some think there is a phoenix coming. B

Yes — Westminster Group was the subject of an official index notice on 29 January 2026 issued by FTSE Russell.

Another last point…. As these are government taxes and not contracted fees, is it likely that governments will renegotiate all their contracts to other remove or reduce the fees they pay… or will the governments absorb the reductions in tax?. B

Last point…. Is it merely a coincidence that Wsg are struggling with publishing the end of year accounts that would involve talking about outlook at just the same time this new directive comes out that blows a hole in future earnings and profitability?….. a good time to be suspended maybe, whilst Pete gets time to rewrite bad news and turn it in to jam. I don’t believe in coincidence, these two events are probably linked . B

This is the worrying bit for Pete…..

The African Airlines Association (AFRAA) said it “warmly welcomes” the landmark decision.

I note the article specifically mentions the $25 security fee at SL as a barrier to growth… I think if Pete ever gets delisted, the business model looks broken…. I suspect 25% reduction in fees will grow. Bye bye to Westminster as they cannot wash their own face at current restructures. B

Reece, I think we might be more impressed if you told us what you sold for rather than what you bought at…. You got very excited last year with your 105s…. Reece…. Only Pete controls if Wsg fail or not by his actions. Shareholders/observers or whoever else has the god given right to comment on these boards. Some of us have been here for over 7 years and watched how Pete and his family have destructed this share by 99% since floating. He has taken tens of millions in placements and paid himself and his family millions in salary…. The sp is now in fractions of a penny…. And you have the audacity to want the shareholders to be prosecuted..😂. There is no great pleasure here, tell us where we were wrong in saying negative things about a ceo who craves power more than shareholder value. Keep averaging down it’s your only hope, assuming they come out of suspension. B

The strategic investor will be “some random bloke”…..in for a punt. I wonder if the nomad asked for proof of the claims made in this RNS. ?. I suspect not. Why no mention of the project that needs project funding… why no mention of dRC?…. Why no mention of Gabon progress?….. suspension looms…. You would have to be brave to punt on this coming out of suspension anytime soon. I agree with misty that this is privatisation back door. The company is valued at £3m… that’s the price of bumbly towers probably. Nothing else has any value because non of the contracts make any money. B

If that’s the case Reece, …. Couple of things…

1) why delay accounts?. Events in the future do not affect results of the past.

2) why not provide an update on future contracts. If Pete was putting in place funding for a new MSC etc… why not say so to perk up the share price. Surely that would help secure future funding having a healthy market cap and share price.

None of this makes sense other than to think the company is in distress and the idea that this charade ( including the embarrassment of suspension) is just the build up to a mega contract and project funding.. absolute nonsense. Slow train crash at the moment. B
