I think that the de-listing was there for all to see in the RNS of 15th Jan, but we all missed... "If the Company does not complete a reverse acquisition by 11 July 2010 its listing on AIM will be cancelled in accordance with Rule 41 of the AIM Rules for Companies." - well I guess this will not be met ;-) The bit I am referring to though is: - "The work required to produce an admission document to achieve a relisting of the Company would essentially mirror that required for a readmission in the current circumstances..." Seems that they already knew that the acquisition would not proceed, and that they were going to go down the de-listing path... So 'clutching at straws' I still cling to the morsel of hope that things are still progressing... lol ... Ever the optimist :-) (thought I have written this off as a loss, a nice Christmas present would be appreciated)... Time will tell... Hope everyone is doing well elsewhere. If nothing else this has taught me not to get into a company that is going to be suspended for a reverse take-over as you never know how long you might have your investment tied up - or if it will disappear even after what looked like a promising period - Fortunately this has always been a punt, but an expensive one non-the-less. I asked some pointed questions covering most of your questions below in the email I sent him. He obviously said he didn't want to just reply with a bland email, but you have to also consider he just didn't want to send anything out in writing that CLN may contradict later. In our discussion he didn't answer any of my questions directly, more gave woolly standard replies that half covered the areas of topic I raised. Timescales = he didn't imply anything soon, but gave the impression they had drafted in a competent person. So let's say they are halfway there? I'd guess 6 week before news. Sizeable = he gave the impression that they had 2 targets and CLN would pick the one with the best return against start-up costs. 6 months = I suppose they could pull the plug, but I still think NYO will use CLN to pursue the less interesting assets they hold. NYO = No mention at all, just my guess. He gave me a warm feeling, but that is as far as I would go. If you go on the NYO website his email address is there. I did use the email you stated below, but go no reply at all. He apologised for the lack of response from the CLN address - I would give emailing him yourself with his NYO address. Hope that helps. Y
Hi Guys, I’ve just had a chat with Mark Burchnall of CLN and NYO. Very amenable character, I had sent him an email, but he felt it would have been a very bland reply and thought a telephone call would be better – he has been trying to get in touch since last Friday, so I’m very impressed with his consideration to the PIs. The conversation was very limited on content though (as per the AIM rules), but here is what I have surmised from his standard replies. They are still looking at reverse takeovers for a couple of options, and intend to pick one that gives the best medium and long term return to investors. He implied that the Tobon acquisition was concluded to be too costly to get up and running soon enough to provide a return. I asked him if CLN needed to re-list onto AIM. He said not technically as they are still listed, but as they will be changing from an investment company to an explorer/production [my words] company they had to satisfy AIM that they have 12 – 18 months of funds available to continue as a going concern (I feel this gives a bit of security). This has to be documented in a report ~ 100p pages long so obviously will take time – I feel this confirms that there are still a few irons in the fire. He said a Competent Persons report was required prior to any acquisition (I read that a Competent Person has already been contracted, and his assessments are underway) and this would result in a ~40 page document from the competent person which would then have to be assessed and reported on further. He seemed to imply that there would be no information coming imminently and understood my frustration at the lack of RNSs, but he said that under AIM rules you have to more or less go from acquisition to re-listing/trading in one move. So when information is forthcoming it should happen fast. As I say, very nice fella, short on any juicy information and the above is only me reading between the lines, but he did give me confidence something is still happening. One final thing he did mention is that since he has been at the company (12-18 months?) no Director or Exec. have drawn any salary from CLN so they are not just sat there drawing our money.
These are undervalued... Lets see these move a bit north...
