Info that some maybe unaware of:- The Batangas Gold Project in the Philippines was totally written down in 2019 to NIL and will remain so until the Board advise that the appropriate progress has been made.

TOTALLY WRITTEN DOWN - NO VALUE

Any positive news on this project and the SP will go mental.

The acquisition cost allocated to the project was USD 2,137,855. The Batangas asset was fully impaired

in the period ended 31 December 2019 as the Directors had a significant level of uncertainty on

securing the permits due to the political sentiment in the Philippines at the time. The directors

considered it appropriate to write the investment in Batangas down to USD Nil in the financial

statements for the period ended 31 December 2019.

The Directors are pleased that commitment to a drilling program for the Batangas project has been

made and continued progress on community relationship and environmental requirements required

to confirm the MPSAs are being actioned by the Company’s local JV partner. The Directors note that

as work is on-going, it is prudent not to re-value the assets in the year ended 31 December 2024.

Progress will be reviewed on an on-going basis by the Board as the projects are further developed.

Couple of 3.1 trades after hours.... so fingers crossed for tomorrow.

Over four months since production testing and still no news on FIRST STAGE! of gas production.

Following the recent successful production test on the State 36-2 LNW-CC-R well (the "36-2R well"), as announced on 7 May 2025, Zephyr continues work to deliver the first stage of gas infrastructure for the project. This includes equipping the pad for production, reinstatement of the 6-inch pipeline gathering system, the deployment of gas processing infrastructure to Zephyr's pre-existing gas plant footprint, as well as planning for tie-in to the adjacent 16-inch gas export pipeline.

Is a convertible loan and can be action in part or full anytime between now and 31st Dec 2026. BMV will convert as and when they need the money.

So presume they will convert some at first purchase of BTC when they are ready.

Response:- Thank you for your question on Resolution 5. The Board is looking to have this standard management tool in place now so it can act at pace if the opportunity to benefit all shareholders arises. Based on management’s sector knowledge, we believe the ability to act quickly will be imperative for the new company strategy’s success.
