Proposed Directors of Tirupati Graphite explain why they have requisitioned an GM. Watch the video here.
Spot on syrup, a loan is not even in the equation NNN have neither tangible assets to offer as security for a loan or any revenue/profits to repay any loan. CP13 stop being silly.
As for a placing it’s hard to imagine Duffers doing anything other than trying to raise money for the last few months.
IMO it is over, run out of road, kaput, out of BS so for once in your life you can believe an NNN RNS.
Semantic, thank you for your observations. Stampee, Caveboy and his products are toast the only value left IMO is the listed entity and ironically the Lanstead Agreement so a last ditch RTO or similar are the only hope for LTHs.
For me the cash crisis RNS has been left a little late and now Duffers must act, Id be surprised if the cash crisis RNS is not just a first step in a shut down plan already laid out.
Assuming most of the remaining cash is in parent company he must save the listed entity and preserve it for as long as possible while an RTO is found. If I was Duffers my plan would include
1. Do not send another penny to the subsidiaries, P2F nanovate, Virosynth GBNano and anything I have missed
2. Within the boundary's of insolvency law pull as much cash back from above subsidiaries as possible
3. If subsidiaries get VAT a rebate or R&D credit fine if not put them into administration
4. Reduce PLC board members to a regulatory minimum and only on one day a week pay
5. Clean up options and warrants as best he can.
6 . Ask nomads to find an RTO and chase down every possible avenue
7. Think about the terms on which you will leave based on completing an RTO, to be agreed with RTO Co. but despite everything this needs to be lucrative otherwise why bother completing steps 1 to 6.
The Lanstead agreement should still be valid so any RTO entity has forward funding in place as such NNN as a clean shell should have some value for LTHs and indeed Caveboy.
Stan see you on the 29th, trisor too I think.
100 posts today and none from Micho, guess he busy looking for his shirt.
Trisor I cant see how NNN can now get a placing away now. At this level placing are all about the 25% discount ensuring those who invest can flip the shares for a quick profit and wait on the warrants but the recent 400K resulted in an initial 25% drop in SP.
There was a bounce back a couple of days later (forgot to thank shareguru (or similar name )who called it, so thanks if you are out there) so the investors didn't lose but now I cant see it, NNN don't have a tenable story anymore.
Id add 200M shares at 25% off 0.1 it s not worth doing, its a months money.
Unless something changes, and radically I think NNN is f****d
Ritz I think the money going in is to turn a quick profit on a Tuesday bounce back.
Proper day traders will take this punt, its very risky but a bad news plummet its often over done so a bounce back for a few days is not unusual before it finds its real level, to make it worthwhile you need to play big.
Hi ExMS I thought Cuvio was Duffers or someone very close, when he came up with Volz jobs ads in Czech Rep who knew to search there?? and some other comments were simply to well informed. I did accuse him but he bounced it back pretty well.
CP13 that is a comical post.
You really are the only funny thing about this whole NNN fiasco.
Bonzo is calling and its a beautiful day so Im off for a long walk, hope all enjoy the weekend.
CP13 you really are delusional.
"Paper loses ,, not the same .." der yes they are and if you don't crystallise them yourself on Tuesday looks like Duffers will do it for you in next 3-4 weeks.
"NNN has every chance to succeed..." no, the chances of success have fallen from slight prior to yesterdays RNS to extremely unlikely.
If you are so rich with so many other good investments why you are still ramping this turkey?
You really are looking a little desperate
CP13 I don't know what will happen to SP on Tuesday but as the company just said it had money to keep operations going for 7 and a half weeks, my guess is the directors wont want to hand over the companies to an administrator/liquidator with zero in the bank account which could mean they will do this well before funds run out.
R&D tax credit is only a maybe and could easily be months away, so best discarded unless further information is made available.
If I was you, CP13 Id stop ramping NNN and on Tuesday salvage what I can.
Trisor re your comments "You were correct on the numbers and most things else. The problem with the internet is you don’t know who has an agenda or not." well mine agenda was trying to warn people there was no substance behind the RNSs and tweets, Im very experienced business development guy at many levels inc small cap tech companies. I could see Duffers didn't have the skill set to make this work and he surrounded himself with equally unqualified sales and marketing people.
To be honest I don't know if Cave's tech is any good or relevant but it simply doesn't matter if you cant find a right time right place solution and that was the mask early in Covid, getting that opportunity once is rare, twice is almost unheard of and Duffers thought we'd believe 7 times, not me.
"I feel let down but ultimately I will survive" you can feel let down by the regulatory regime and to some extent yourself for ignoring red flags but I take no pleasure in your losses and pleased you will survive and learn from the experience.
Good luck going forward.
Trisor, R&D credit can be applied for against completed and filed year end accounts. So they can claim up to year ending 31dec 2021 and if completed year end 31dec 2022
Trisor it’s only the proportion of costs directly attributable to R&D and that done in P2F. A good chunk of cash burn is in Nanosynth
Trisor they can claim for filed accounts.
Trisor you’d hoped they’d have done R&D every year but as I cant recall any mention in accounts and certainly can’t be ****d to go and check I guess not.
Good news they can go back two years and claim against the cost of staff working in R&D, proportion of rent and utilities, any consumable’s or raw materials for R&D (not production runs) and some software. So potential is a reasonable sum maybe 5 staff say 200k share of biocity costs 100k, materials bought for testing 100k some software 50k and chuck in another 50k so 500k per annum x 2 years 1m so 333k cash rebate.
Bad news we don’t know how long, only funds P2F not plc which is out of cash by June and let’s face it if 333k comes in in time it won’t last Caveboy long.
PS I’d presume vat rebate would also be for P2F
Why would Rainer want a listing in the UK.
Trisor trading includes acquiring liabilities, staff wages, PAYE, biocity rent, companies supplying the copper, the artwork and packing to atomic nano, cost of websites
It not when the cash runs out it when you don’t have enough money to pay all your liabilities even if not yet due. They have just told you they have less than 2 months money left which includes money which may not come in.
Trisor the research credit was not in the enough cash to June sentence and is just an application at this stage. My memory of these is you have to be solvent to get the credit and NNN does not look solvent to me.
Actually I just realised it all irrelevant. As and when NNN have no real prospects of a placing then they are trading insolvently. Once they are at this point then NNN have to call in an administrator not when the money finally runs out
Poor I know you were in big at one point and pleased you got out okay. Please note I read all the past RNSs with a between the lines small cap BS lens and guess I read them correctly. Now your comment "I don't feel this is over yet, not in the short term anyway." worries me a little, please humour me and let me translate an NNN RNS for one last time through my small cap BS lens.
With its current cash resources and an expected VAT rebate NNN have enough funding to June. That means money runs out in May, that money includes the expected VAT rebate. Note the word expected, it is in the sentence for a reason. If the VAT rebate doesn't materialise then even the end of May is not likely. I don't know what proportion of the to June money is the VAT rebate but without it they may have to pull the plug in April.
RR CP13 is still in denial LOL.
