If the company were certain of a good outcome, surely they'd have no hesitation in letting him defend both cases for them!"
The clue here is he's a NED - and as such should only be an independent advisor. His oversight, and advice as a qualified barrister will be very handy I'm sure?

That's literally what professional indemnity insurance is for! When I was an independent contractor, I was required to have 3 lots of insurance, professional indemnity, personal indemnity, and public liability insurance, to cover any kind of f***-up I could get myself into (amazingly, nobody ever had to claim on it :-) )
