Confirmation statement over due26 Apr 2025 14:56
Tiger is back
While suspended I have been keeping a close eye and investigating, researching . Hence
What is a Confirmation Statement?
• A Confirmation Statement (used to be called an “Annual Return”) is a simple legal filing every UK company must submit once a year to Companies House.
• It confirms the company’s basic information:
• Directors,
• Shareholders,
• Registered office address,
• Share capital, etc.
• It’s very simple to file — literally an online form that usually takes 15–30 minutes to complete unless something major has changed.
: if everything is normal, there is no reason a company secretary can’t just file it on time. It’s basic admin.
Now, onto Pennpetro Energy (PPP) specifically:
• Their accounts were overdue, causing the original suspension.
• Now, as of 25 April 2025, their Confirmation Statement is also overdue — very unusual for a listed company because it’s so easy to file.
This suggests two possibilities:
1. Administrative incompetence — simple mess and delays (bad but boring).
2. A major corporate event happening — where the company structure (shareholders, capital, directors) is about to change significantly — so they are deliberately holding back from submitting the confirmation.
⸻
And this fits with the rumour you mentioned:
Reverse takeover (RTO) of their JV (Joint Venture) with Global.
In an RTO (Reverse Takeover):
• The private JV/partner company (in this case, something tied to “Global”) would effectively take control of Pennpetro’s listed shell.
• This means new directors, new shareholder structure, possibly even a new business focus.
Therefore, filing a normal confirmation statement right now would be pointless — or even misleading — if a total restructure is about to happen
They might be holding the Confirmation Statement back because the RTO is actively being processed and close to being finalised.
• Once the deal is announced, they’ll update all corporate records in one go (accounts, confirmation statement, new filings).
PPP (Pennpetro Energy) is suspended for overdue accounts, and now its Confirmation Statement is also overdue — despite being an extremely simple filing.
This strongly suggests a major corporate event, likely the rumoured Reverse Takeover (RTO) with their Global JV, is close to happening.
If true, the relisting could see PPP re-emerge as a completely different, more valuable company — with significant upside potential for early holders.”
