Just dawned on me tho, perhaps Andrew thought he would have issued shares by now and wouldn’t have the allocation allowance to issue the shares to POW, as he has held off on a placing he still has enough head room to issue the shares to POW ! That makes more sense

Helpful, you know why ! I’ve seen enough times RRR promise and then don’t deliver, can’t help thinking and feeling things the same ! Genuine question, if RRR have not sought authorisation from shareholders to issue the shares to POW, can they still do it ?? I genuinely don’t know but the is definitely a conflict between the 2 x RNS put out ! Hence me highlighting it ! Would like to know Banburys thoughts on this as he is far more intelligent than me

Thie above was a pre requisite for the deal to happen and allow RRR to issue the first payment of shares t POW. To issue shares without authorisation could well be illegal in my opinion - But I am far from in the know but that’s how I see it !

Distressed by this news …lol. I’ll only been distressed if it turns out to be all a load of bull as per usual with RRR ! If no deal then share prices crashes and discounted placing, if deal is done a placing will still be firth coming at a rate of knots, just hopefully for current holders at a higher price if people buy in to the jam tomorrow hype. Genuine to find out if any holders on here got asked to vote to authorise the initial payment to POW - Robins were you asked ? Spec were you asked ! I’m not going to pretend I know, but surely you can’t just ask big share holders and forget the rest ! Genuinely interested to find out as something doesn’t add up here and all seems a bit fishy in my opinion !

To me if shareholder authorisation has not been sought, not even an RNS to say a circular has gone out ! So if it hasn’t been sought and granted then these shares can not be issued to POW which means no deal ! Just saying and in my opinion of course

Completion will now occur within five days of 11th June 2024 by:

1) The vendor delivering its shares in the holding company for the Australian assets with a signed transfer;

2) Red Rock delivering the convertible loan notes to the vendor; and

3) The Company delivering 166,666,667 new shares in Red Rock and accompanying warrants exercisable at 0.25p per share in Red Rock to the vendor.

It says that one of the pre requisite is it needs to be voted through by RRR share holders ? Has this vote taken place does anyone know ?

Why not state that all conditions precedent of the transaction have been fulfilled ? Why did they add “or waived”. There is absolutely no need to put that in there, just make the statement totally ambiguous and covers both parties if transaction goes through or not ! Which for me is a massive red flag suggesting the deal is not going to go through !

On another point POW RNS gives a bit more detail - CLN of £250k equal to price of next placing - Oh my god ! Holders want to hope I am right and this deal doesn’t go through, another level of dilution about to happen otherwise

Thanks Helpful, that was exactly my thoughts. So we still don’t know if f conditions have been met or waived ? Why not tell us instead of going to extreme lengths to obfuscate - Typical Andrew Bell, hoping this RNS will trick people gain hype and boom get the next placing away ! All in my opinion of course and to me this deal is a dead duck

I still can’t read the deal has been confirmed, or that conditions have been waivered ! I’m not the brightest but don’t see anything in this - Apart from desperate last pump to get a placing away !
