One thing that never made sense to me was when AZ said the loan share holders supposedly sold SYME shares to derisk. As a loan share holder you are supposed to be taking credit risk by lending money secured over value of shares which is why lenders always discount value of shares when they make the loan to provide a safety margin if shares drop in value and have margin call mechanisms to require additional security to reduce their exposure.

If you sell the shares in a Fintech like SYME, which then increases dramatically in value, you could face a huge short squeeze and lose a lot of money. You can’t hedge that position with market derivatives. If you have SYME options or warrants to enable you to buy shares at cheaper than the inflated market price which the stock loan companies supposedly didn’t have that would reduce your risk.

Selling the SYME shares only makes sense if you expect shares to drop in value and never expect to have to repurchase shares because you will settle in cash or expect SYME share price to remain depressed for long periods of time, so you reduce risk of spike. Having a low SYME share price simply doesn’t help settle the DW charge or loan shares commitment ecause it reduces AZ wealth in shares of SYME.

I also struggle with the Stock Loans lawsuit why does AZ want to get loan shares returned at much higher effective price than current market price. He also swapped a loan for £800,000 into shares at much higher than market price without explaining his logic.

What I do know is that AZ promises a lot but typically fails to deliver on his promises on SYME, RTOP and TAG debt to Eight Capital and that makes him a poor bet for shareholders connected to his companies.

HSBC U.K. bank auditors state materiality is 5% of profit before tax or £268 million last year.

You come out with a whole alphabet soup of requirements that apply to banks but you are simply making up nonesense excuses for why transaction hasn’t happened.

I anm familiar with the terms you are referring to but even by looking at a just a few of them it is clear that you are talking utter nonsense.

External auditors only look at material transactions and an €8.5 million loan is clearly immaterial which you would know if you understood how external audits work at major banks and other companies.

Internal audit aren’t going to look at utterly immaterial loan product before it even launches. They don’t have infinite resources to look at everything a bank is doing, as you would know if had the faintest idea how internal audits worked at banks or any other large financial services business.

A bank that has lent €100 billion would be able to cope with making 1 new loan transactions to a newly incorporated stock company whilst quickly performing KYC and AML checks on that company plus SYME and its existing client using its established KYC and AML process systems and procedures which they use for all new clients or are you suggested that it takes months to onboard 1 new client?

You points might sound good to the uninformed but as explained above they don’t stand up to even simple scrutiny to someone who knows how large scale banks actually work.

You do love making up ridiculous excuses for SYME’s failure to deliver.

First the initial transaction is for €8.5 million transaction which is totally immaterial to the bank’s financial statements.

Second the bank will simply record the transaction as a loan I.e a straightforward transaction for a bank it is simply lending money to the stock company. No detailed approval required from auditors or regulators required to make a small ticket normal loan versus the €100 billion they have already lent.

Third they have all had six months to get this done and have failed to do so.

I think your expertise for banks is probably limited to paying your utility bills at the Bank counter.

I am shareholder in a U.K. listed bank, up over 60% since I invested. I do understand how banks work.

I never said the bank chose the least credit worthy company.

My comments indicated that it should be a easy deal to get credit approval for as an existing client, with a 15% first loss borne by another party, on a commodity that increases in value as it ages, with lots of end buyers.

I see you final admit that there is a €73 million loan liability which you denied existed for a long time. As to when it gets paid, you have to check Eight Capital RNS announcements.

Banco BPM corporate loan book may well be over €100 billion but in six months SYME haven’t yet managed to extract the first €8.5 million promised back on 3 January.

Given its an existing bank customer and AZ and fellow investors are taking first 15% of any losses on a commodity product that increases in value as it ages, with a huge number of end buyers, if borrower defaults and doesn’t repurchase the stock you do have to wonder what the hold is due to

It’s an accounting classification in VRS accounts now that AAC Cyroma is held for sale which required its disposal to be considered highly probable. It doesn’t mean that AAC Cyroma is being shut down. Nor did I say that.

The Korea sale involved the plant and assets being sold not the company. They were sold for a discount to value of plant of £844,000 . The disposal resulted in a big write down to historic purchase price.

Time will tell how much they get for AAC Cyroma.

I see you’re now dreaming up farcical reasons for the White Label announcement delay.

Isn’t the most likely reason for the White Label non announcement simply that it has happened yet and AZ owes shareholders an update?

It reminds me of the U.K. IM deal that was announced in summer of 2023, only for shareholders to find out 7 months later that the deal hadn’t completed due to challenges with floating charges on existing bank loan and still hasn’t been announced as completed a year later.

Meanwhile TAG’s financial crisis continues, Eight loan settlement now almost 2 weeks past due date but still no settlement, RTOP still hasn’t had $1.5 million promised on 14 June, no update on cash payments by TAG to SYME that are many months outstanding.

AZ promises at lot but fails to deliver.

AAC Cyroma had net assets of £88,000 at interim stage and lost £168,000 on revenue of £1,159,000.

Business isn’t growing either.

So I think £500,000 sounds too high.

In any case £500,000 is only a few months cash burn for VRS.

TAG hasn’t invested $3 million in Nubaru.

SFE Equity Investments SARL has. It’s a subsidiary of the company that is raising €135 million along with a NEO Bank to fund IMs which AZ has some money in.

Nubaru is loss making, has net liabilities so it doesn’t look a great company either.
