Australian law still says directors must act in good faith, but proving they stole the money after delisting is slow and expensive.

That is exactly why they want to delist now – zero scrutiny while the £8–9 million is sitting in the bank.What shareholders can still force (before 23 December deadline):Vote NO on the delisting resolution (needs 75 % to pass – retail can stop it).

Demand in writing that 90 %+ of the cash is paid out while the company is still publicly traded (AIM or the much cheaper Aquis market).

If they refuse → requisition an emergency meeting (5 % of shares) or start an oppression lawsuit under Australian law section 232 (the court can order full payout or wind the company up).
