Agreed, what i am coming to say is Wood need to put an RNS when they are likely expect to publish FY24 audited statements without linking it to sale or offer. Currently it looks board is mixing things up as though they are all the conditions are related but it is not.

Hi Banburyboy, thanks for noting the word usage, but do you believe Auditors are not yet done with accounts and will not able to publish until Sidara's offer.

When Wood's board is minded to Sidara's offer means, they know from Auditors how their books are looking.. It is like playing Poker Card with us when they all know what each one holds.

What is fully within Wood's control out of all condition is publishing the FY24 accounts. They should not hide behind Sidara's offer in cleaning up their house and accounts in order.

New bidders are sitting on wall awaiting Deloitte's review and FY statements. Once it is out there will be plenty of movement and action with Wood scrip.

I strongly believe in the Brand Value of Wood and there will be another bidder to provide better valuation to the share.

The volume changeover is only 12millions yesterday less compared to 21st March.

Wood is not distressed but the fear and gloom is due to current boards capacity to run the company in shareholders interest. If board is changed with capable people this assumed uncertainty is removed from equation and the discount price will reduce considerably. Outstanding loan is not an issue, it is like home loan and you are not considered in threat until you service the loan does not mean you need to pay it off in three to four years.

Debt was already know during previous attempt by Sidara, only additional finidings of $400mil at the most came out after their last bid. Considering that the share price should not be discounted more than 10% from previous offer.

If Sidara buys at low share price thinking they can make profit buy turning around quickly they will encounter loosing key talents from across the globe and eventually holding a company what they paid for. No turning around from there.

Wood is a going concern with 35,000 brilliant minds working with it. Even the Knowledge base of Wood should be valued at 2 billion pounds. It is not easy for any start up with such cheap investment to reach the height and maintain where Wood is now. It is is not like buying a street shop as a owner operator.

I agree with Rob-50, Wood is not distressed, Wood Board has lost the trust that it can navigate from here without further dramas. Share value erosion is not due to business landscape changes but entirely due to people managing it. So it is not structurally challenged.

400mil of EBITDA, business value multiplier 4.5x, 300mil in pension funds

4.5x400+300=2100mil

outstanding debt 1100mil in US$ which is 540mil British Pounds

Value of company = 2100-540 = 1560mil pounds which equates to 2.25 pound/share

The volume of shares sold and bought in the bourses are very miniscule compared to total share holding. In times of M&A the share market share price with volumes like these cannot be extrapolated to the total shares issued by the company. There will be a detailed value analysis and I believe, it will support only 10% discount to the highest share price in the last 52 weeks. so the offer price from Sidara will be near 210p. This is totally in my opinion and constructive comments welcome.

Shorts reduced from 6.33 to 5.8%, so the sentiment should be positive for SP.
