Part 2. Pretend Francesco gave the Bondholders 51 million shares and say they retained these shares. At the Bid price from yesterday of 0.6p they could have been sold for £306,000 but nothing like the €2.1 million which the Bonds were worth 2 years ago. (Note this paragraph for later)

I have kept detailed records of the Trades for years and the current 10-day average is 0.4275p (not 0.752p YET) When the average increases slightly then you may find that a Bond Notice Conversion is issued.

PS On a particular occasion in London (in a pub, but not Jonnybad’s pub) Francesco talked about various RNS’s that had been issued under his watch and empathised about all the debt that had been bought back at massive discounts and he said that he would not allow other “debt” holders to have an advantage over debtors who agreed to have their debt bought back at 80% PLUS DISCOUNT) Now one can only speculate that what was said or “discussed or promised” at the various Bond Holders meetings in 2018 but one could hazard a guess to something like ….. Well, if we convert your Bonds into shares albeit at 500% premium we will ensure our company survives, providing the company survives then we are able to pursue two extremely large court cases where our legal advice is extremely good and we are confident of full pay-out of over €10 million for Sipiem, €1 million for Sosusi, Fortune Cookie settlement £1,150,000 (paid in December 2018 & January 2019) oh and the real big one is possibly Mediapolis claim against former Directors for €20 million. We think the 500% premium conversion will be recovered.

Chianti second case on order

Part 1. I thought I should order a second case of Chianti as a result of yesterday’s volume.

I have held Clear Leisure shares for almost 6 years now (bought originally in 2015 before Francesco re-joined. Between my wife, daughter and myself we own over 6 million) Today briefly I was showing a profit but at the close it shows as a small loss of 0.64% but my wife & daughter are both showing a profit and between our three SIPPs it is only my Clear Leisure shares that are showing as a loss and all other shares are in profit. I only have one other AIM company but as it has £5 million cash in bank and no debt and £5 million of additional assets, I am not concerned to be holding this AIM company. I will eventually exit AIM.

It would take too long to explain how Francesco managed to “persuade” some Bond Holders to convert at 500% premium to the 10-day average, but he had several Bond Holder’s meetings that did not have a quorum (that’s because Eufingest held the majority of the Bonds) and eventually the percentage threshold was reduced to “enable” the change to the Bond Conversion to be passed.

You need to read various RNS’s from 2018 but the one that details the 500% was issued on 1st October 2018. You will see that the 10-day average share-price was 0.752p and 500% was 3.76p. I thought Eufingest would convert but they did not (at that time!) but several Bond Holders did convert see RNS 28th December 2018 where €2.1 million converted into shares and Francesco gave them only 50,992,826 shares.

It is not often that I see such an uplifting comment on any B.B. so I thank you.

We have had a torrid time over the past 14 or 15 months and now that ForCrowd have disappeared we do not have any overhang of shares to keep us down.

It is only going to get more and more positive for LTH and after being a shareholder since 2015 it was only yesterday that my wife finally understood what it was all about. The time I had put into researching Clear Leisure and going to Northern Italy to check out our two main assets, gathering support from over 25% of the shareholders at the time of a particular AGM and proactively engaging with Francesco Gardin & Reginald Eccles on a regular basis and articulating my concerns throughout the past few years, that my time and effort are now going to be rewarded.

FCA RNS This Morning

The FCA issued an RNS this morning into the Unsecured Credit Market.

It may have seemed irrelevant to some, but a little snippet may be of interest to shareholders in Banks.

“A sustainable credit market needs more alternatives to high-cost credit. The FCA should work with the Government and Bank of England to reform the regulation of credit unions and Community Development Finance Institutions. More should be done to encourage mainstream lenders into this space.”

Yesterday was just the beginning.

I normally only drink at the weekend but yesterday was a day to have a little inebriation.

Now so there is no miss understanding, I do not like French wine and after gong on a rather expensive wine tasting course last January (an Xmas present from my daughter) I was appraised of more expensive and exotic wines especially Italian wines. I was educated about the region where Chianti is produced.

A Chianti wine is any wine produced in the Chianti region of central Tuscany and you can distinguish this particular wine by the distinguish “Black Rooster” The logo distinguishing the wine must be on the neck band or back label.

Now for anyone invested in Clear Leisure all you need to know is that FG is the Black Rooster (the genuine article) Obviously I am limited in what I can articulate but I have requested Virgin Wines to deliver several cases for the end of this month for my 6 years of waiting for Clear Leisure to deliver.

Anyone who bought yesterday at 0.68 will be able to partake in Chianti at the end of the month.

Walking a tightrope

I need to take care with this Post as I am walking along a very thin tightrope.

Today’s Business Update:

Sosushi:

Claim for €1 million. If you have done your research, you will know that we have previously been diddled out of our ownership and if you know Francesco like I do you will know that he will not give up until he recovers what rightly belongs to Clear Leisure. Going for arbitration (just think Fortune Cookie where Francesco received an out of court settlement of £1,150,000)

ForCrowd:

I engaged with Francesco on several occasions about the structure of the agreement to cover 90% of any of ForCrowd’s losses if they sold their shares at less than 0.3482p. I have always found Francesco professional on every occasion that we have engaged and I can not take any credit for what eventually happened (€20,000 cash to be paid to them) but what we now have is a shareholder who has disposed of over 54 million shares and could have had another 19.7 million if the original agreement had been adhered to. We have had for over a year, a shareholder who was unloading below 0.34p and that could explain why the share-price has been depressed. It could also explain why the price came up from the lows of 0.20p to 0.46 recently to “facilitate” some additional cash for ForCrowd as they were not then getting their replacement shares.

Eufingest Loan Conversion to Bonds:

All I would say regarding this is the main advantage of issuing Bonds rather than a loan(s) The lower the interest rate for the borrowing company, the less the loan ends up costing, additionally, when a company issues Bonds instead of pursuing a long-term loan, it generally has more flexibility to operate as it sees fit.

Miner One Ltd:

Jury still out on that.

Mediapolis:

This is now becoming remarkably interesting. For only €50,000 Francesco has bought “the rights of a potential claim against former Mediapolis directors and members of its internal audit committee” worth potentially €20 million. Now the key here is it is against Directors and as we know from the Sipiem court case (due result in 4 or 5 weeks) there was Director Liability Insurance in place. (Petethefete1 now you may have an answer as to why Eufingest want the option to convert their new Bonds to 1p)

Elephant in the Room:

You will note that there was no mention of the pending Sipiem Court Case. Well why is that?

PS Why “Walking a tightrope” well there is something missing from todays RNS that I was hoping to be in it, but it was not. This is often inserted at the behest of the Nomad. It was last inserted on 27th October 2020 under the paragraph where Francesco made his comment.

Accounts must be filed by Friday

So that there is no doubt about our Interims Results to 30th September 2020 the FCA issued guidance last year.

FCA said “Half yearly reports – Primary Market Bulletin 28 confirms that, as a temporary measure, listed companies have an additional month within which to publish their interim results. So they can bee published within four months of the half year instead of the usual three months. See the FCA’s Q&A for more detail on this.

ZOE & FeverTree

Late last year I posted some comparisons between Zoe & FeverTree.

We are all anticipating our Interim Results to September 2020 so I thought I would look at Fevertree’s Interim Results to June 2020.

Total Turnover for the six months was £104.2 million and this includes

UK £48.3 million USA £27.4 million Europe £20.5 million & Rest of World £8 million.

Gross Profit was £48.7 million
Gross Margin was 46.8%

Fevertree have 116,518,420 shares in issue and at close yesterday they were £23.

So yesterday Fevertree had a Market Capt of about £2,679,923,660

Zoetic International Plc currently have 195,570,034 shares in issue and at the close yesterday they were £0.884 so Market Capt of about £172,883,910

When we are given some details of our Turnover, Gross Profit & Gross Margin (and projections) then you will have some comparables to do your own calculations as to wither you agree with myself and a few others on our B.B. that ZOE is the next Fevertree.

I obviously can’t comment at present except that I have been fortunate to have turned my portfolio around over the past few months and all down to a CBD Company.

Due to the 200% + profits in the CBD Company I cleared out all my duffers and only have two AIM Companies, obviously still have CLP with 4 million and then PRIM but I do not mind retaining PRIM as it has £5 million cash in the Bank and £5 million of Assets.

All my shares except CLP are in profit (because any duffers were dumped last week including PQE at 90% loss) and hopefully before the clocks change my portfolio will all be in profit (as I only court success now)

If I could buy TruSpine in my SIPP I would but HL do not allow (at present)

We know TrueSpine have had some difficulty getting money from their placing and it would be good if our BoD were to double down / up with our current investment but as we have not been informed as to where our new BoD are going to take us with the £5 million (or there about) but if they did invest further in TruSpine then we would know they believe in them.

If our new BoD have divested our TruSpine investment then they are obviously tidying up our investments.

I am patient and have every confidence in our new BoD.

Who made the slip-up?

I often email CEO’s, Directors, PR and many others. I prefer to meet in person (that is why I try and attend AGM’s) and I almost always cast my vote at AGM’s & GM’s.

When I email an important person, I usually include my name on the same line, but sometimes I use the “cc” facility to have a copy of the email but I never include a blind copy.

There was an occasion a year or so ago (it may be a lot longer but not before FG joined in 2015) that I sent an email to FG and included a few others. On this occasion I “cc” myself.

Someone replied to all the people I had included in the email but they also included me. That was unfortunate for them to include me. Now I will request a Subject Access Request and they can reflect as to why they thought there was no need to respond to my email of the 10th December to our Nomad / Broker about my concern about the death-spiral ForCrowd Lottery Ticket with the guarantee not to lose clause.
