Sport80: We invested £100,000 for 2,500,000 shares @£0.04p in March 2020. Since our investment, Sport80 have not had to raise any additional capital.

On Companies House you will be able to access a lot of information about Sport80 and you will see from their most recent accounts (lodged last month) that they had profits after tax of just over £200,000.

I believe our investment in Sport80 will be worth a lot more on an IPO but I do not think they are planning to IPO in the near future.

So, I will value Sport80: at cost of £100,000

Rambler Mining & Metals (RMM) We invested a total of £453,941 in Feb & March 2022 for 1,699,910 shares at an average price of about £0.267p

If we have not sold any of the 1,699,910 shares, then at yesterday’s Bid Price of £0.255p this Investment will be worth about £433,477

SOA Energy: It is not possible to put an accurate value on this Investment.

We have 14,977 shares with an original cost of £6.67 for an investment of £99,897

On Companies House in 2021 SOA Energy issued shares at £2.02 & £17.19.

In my opinion SOA Energy do not provide meaning information on their Annual Accounts so I will value this Investment at cost of £99,897

Alteration Earth (a SPAC company) This company is due to list by the 1st of July 2022.

We invested £350,000 in October 2021. There was a Seed Round Investment for 2.5 million shares @ £0.04p and a Subscription Round Investment for 2.5 million shares @ £0.10p. We also have 1.8 million Warrants @ £0.001p

I have valued our 5 million shares + our 1.8 million Warrants all @ £0.10p after deducting the cost of the Warrants of £1,800 at a total of £528,200

Current Market-Capt @£0.031p is about £4,334,760

So, I calculate that our Investment in Alteration Earth is worth about 12.91% of our Market-Capt.

PS our first five investments of Fresho, Payapps, Engage, BMN + Loan Note & Alteration Earth are worth about £7,442,978 or about 171.70% our Market-Capt.

Mustang Energy / Bushveld Minerals. We originally had a $2.5 million convertible loan note in Mustang Energy in April 2021.

We received back $1 million of the convertible loan in January 2022 along with interest of $72,054. This left a balance of $1.5 million which was / is attracting interest.

On the 29th of March 2022 the convertible loan note and accrued interest was worth £1,208,988

In April 2022 we converted 1/3rd of the Loan Notes and accrued interest for 4,157,645 shares in Bushveld Minerals. The balance of the Loan Note outstanding in April 2022 was £1,007,490

Yesterday the Bid Price of Bushveld Minerals was £0.087p.

BMN shares are currently valued at £361,715 and along with the Loan Note this investment is worth about £1,369,205

Current Market-Capt @£0.031p is about £4,334,760

So, I calculate that our BMN shares & Loan Note are worth about 31.59% of our Market-Capt.

Engage Technology Partners Limited ("Engage") we currently have 92,374 shares where we paid prices of £15 £17.60 £19.29 £22 & £24

Paid in total £1,791,844 and using the most recent funding round in July 2021 @£22 our shares are worth about £2,032,288.

Current Market-Capt @£0.031p is about £4,334,760

So, I calculate that our Engage shares are worth about 46.88% of our Market-Capt.

Payapps (formerly called Zuuse) We currently have 3,065,058 shares. Some were in exchange for interest due, some were purchased @ A$1 & A$0.86 and some were after exercising warrants @A$0.50.

Paid in total A$2.36million and using the A$1 funding round our shares are worth about A$3,065,058.

Using todays conversion rate of A$1 = £0.57p then our Payapps investment is currently worth about £1,759,274.

Current Market-Capt @£0.031p is about £4,334,760

So, I calculate that our Payapps investment represents about 40.47% of our Market-Capt.

Primorus Investments Plc Annual Results

Our Annual Results have just been issued.

I will Post a few observations over the coming days.

Fresho: We currently have 3,415,723 shares bought over 4 rounds at prices of A$0. 27 A$0.38 A$0.475 & A$0.575

Paid in total A$1,575,941 and using the most recent funding round of A$12 million @ A$ 0.90 you could say our shares are worth about A$3,074,150 an increase of about A$1,498,210

Using todays conversion rate of A$1 = £0.57p then our Fresho investment is currently worth about £1,759,274.

Current Market-Capt @£0.031p is about £4,334,760

So, I calculate that our Fresho investment represents about 40.59% of our Market-Capt.

A SPAC is a Special Purpose Acquisition Company.

Primorus Investments Plc are investing about £350,000 in Alteration Earth a SPAC (see RNS 21/10/21)

Our investment is in two parts:
2,500,000 @ 4p (seed shares)
2,500,000 @ 10p (subscription shares)
Primorus Investments Plc are also being issued with 1.8 million warrants at nominal 0.01p.

The warrants would only cost us £1,800 but at the 10p subscription share price of 10p they would technically be worth £180,000.

If you were to research the SPAC Boanerges, which listed on Aquis in May 2021 @ 20p the Company had a NAV of £500,000 but a Mkt Capt of £14.2 million (see link) https://boanergesltd.com/boanerges-limited-net-asset-statement/

If you have done your research, you will be aware that Boanergeres has acquired WeShop and Primorus Investments Plc now have shares in Boanergeres.

There are very good investment reasons for utilizing the SPAC listing facility and hopefully we will have Alteration Earth listed within the next 3 weeks.

I believe the problem with small market-capt companies is that very few do proper research, and it is LTH like ourselves who will benefit (eventually)

Mystery Shopping

Voyager Life are at the Ideal Home Show at the SEC Glasgow from today until Sunday.

I paid them a visit this morning and was very pleased to meet our staff and have a long chat with them.

Mystery Shopping is one of the best ways to discover how your products are actually doing. Being aware that the sales staff are compliant and are knowledgeable regarding all compliance issues (age etc) and you can observe if our products are being purchased.

All our products were on display. I listened to a few customers chatting with our staff and was pleased to observe their professionalism and imparting their extensive knowledge and most importantly closing their sales.

Trade Shows are just one of the avenues that Voyager Life have to build our Brand along with our three shops in St Andrews, Dundee & Edinburgh, then there are our Online Sales and White-Label sales.

We have no debt and over £1 million cash in the Bank as at the end of our financial year (31/03/22)

Looking forward to the public being educated about CBD and Voyager Life have the staff to inform.

I believe the reason why they have not updated the Major Shareholder List is because they do not have to. It is the responsibility of the shareholder to inform the company of a % threshold change.

Over the years I have had many conversations with CEO’s & Directors and “they play the system”

If they did not “play the system” then they would not be able to do placings as and when the Company needs funds.

But I know of one AIM company with about £14 million of assets but only has a Market Capt. of about £5 million and they scrutinize the share-register every day.

Quick-Fix

BoD could solve this today by updating the Major Shareholders List as at close yesterday.

Will they update it? No

Why? Because the register does not balance.

Will the FCA investigate? No

Why? Only the FCA can answer that.

AIM Rule 26

On 4th May 2022 (technically 6th May) there were 609,252,063 shares in issue.

Website updated on 4th May 2022 with the TR1 holder David Ian Jones with 7.082% 43,147,505 shares.

If any share-holder crosses a % threshold they must TR1. If you had 3% on 4th May 2022 it would be 18,277,561 shares.

I do not know if there were Trades of 107 million & 121 million, what I do know is that Atlas had 25,471,154 or 4.18% as detailed on Website on 4th May 2022. If you add their 89,255,224 shares from 3rd May 2022 = 114,726,378. No TR1 has been issued since their conversion on the 3rd May 2022 but that means nothing because we all know many TR1’s are ignored (never communicated to Company) But what we do know is that there are no major shareholders under AIM Rule 26 with 121 million shares.

What could have happened is that Atlas bought some in the Market and then sold but it does not equate to both Trades of 107 million or 121 million as posted by Casper786 “we saw 2 trades go through.....107M+121+...few days back.....it’s my take ( just my opinion ) these were ATLAS FWD SELLS...”

I am 100% confident that the Share-Register will have all the information that BoD require to confirm that Atlas have not treated shareholders fairly. It is up to BoD, Nomad & Broker to fix this and for AIM to adhere to the FCA’s Handbook Rules.

Swift Payment Time-Frame

I used to work in a large Retail Bank head-quartered in Glasgow.

At the end of each day all the Swift Transactions were processed. (Incoming & Outgoing)

Swift Transactions were not instantaneous. They could take up to 4 days due to anti-money laundering rules amongst others. With the current situation created by Little Putin in his “Special Operation” I think there will be additional checks to confirm that the recipients are not “Crooks” (most likely they are) or that they are not on any sanctions list.

Forward-Selling

We all believe that Forward-Selling occurs and nobody every proves that it does but a few years ago I had evidence that it had occurred.

If VAST BoD were to look at their share-register over the past month and to a forensic analysis, they will know if shares have been forward-sold.

I will be voting in favour of both Resolutions. For our story to have a happy ending there is no other option but for us to take it on the chin and put up with the trolls who will be enjoying a few beers on Friday, I respectfully decline your offer.

The massive shareholder dilution is a result (in my opinion) of the failings of the ex-joint CEO’s. They told a story via RNS’s, AGM’s, GM’s & Interviews and some story they told. They should hold their heads in shame.
I believe our new CEO Callum Sommerton will steady the ship; he has an enormous task ahead of him and there will be many pages to be turned before he will be able to deliver where others have clearly failed.

When we had the £6 million placing at £0.60 for 10 million shares with “HNW” investors (last May) they would have been “sold” a story as they were also given warrants @ £1.20. It must have been a different story that they (our ex-joint CEO’s) told J Story as we all know what he did.

Say you were one of the HNW investors in the £0.60p placing last May and say you subscribed for 1 million shares at a cost of £600,000 and then on Tuesday this week your 1 million shares were worth only £45,000. What price would you accept to change the story back from fiction to reality?
It would have been too obvious to have a placing of 30 million so to divert the brail readers we have a placing of just under 30 million (29,166,669) But let’s pretend it is a placing of 30 million shares at 2p. You would get 3 million shares at a cost of £60,000 and your total cost would be £660,000 and you would have 4 million shares and your average cost would now be 1.65p (nothing close to 60p let alone our closing price of 4.5p) but it gets better this story. You can (will) have convertible loan notes of about £350,000 which will result in you getting another 17.5 million shares. Your total additional investment would be about £410,000 (a lot less than your £600,000 last year) but you now will have 21.5 million shares.

That’s not a fairy-tale it is a result of the ex-joint CEOs.
