AIM Rule 26 More nondisclosed shareholdings.

In my previous Post I mentioned A Villa and his “disposed” shareholding. In the 2015 Annual Report you will see various substantial shareholders:

Vidacos Nominess Ltd is really Citbank and you need to know who uses them as their Nominee. Note When I worked for the Clydesdale Bank in the 1980’s & 1990’s I had to transfer all my paper share certificates to the Banks Nominee Company and I had to ask the Staff Bank’s Manager if I wanted to sell any of my shares and sometimes they took days to agree. One day I received a call from the share register of a Company that I had shares in that were in the Nominee Bank Account and they wanted a verbal confirmation that I actually owned the shares. So sometimes Companies do want to know who the actual beneficial owner of shares are.

An Idea Lives On Ltd is controlled by two Italians. Now if you knew who they were then you would have information to assist with your Investment Decisions.

There was a PRN issued on 28th December 2018 where CLP (QBT) invested in PBV Monitor and they were issued with 35,365,389 shares. Note these shares are not in Vidacos Nominess Ltd.

AIM Rule 26

Technically AIM Rule 26 should be updated every six months but nobody seems to bother to prompt AIM Companies to adhere to the Rules.!

Now you can obtain details of major shareholders from Annual Reports and Company Websites. But does that tell you the true ownership?

If you attend AGM’s or GM’s you can ask to see the share register. Having sight of even historic share registers can influence your investment decisions.

Currently we have MC Strategies AG (formerly Eufingest) with 12% (but they also hold FG’s 5 million shares 0.3872%. You need to know QBT inside out to understand how large MC Strategies potential shareholding could be (delve into the Annual Accounts with a large calculator) You also need to know who the real beneficial owner of MC Strategies is (its not A Villa but see below)

Mr A Villa, a man who was not happy with me because I would not do his bidding, used to run the old CLP and had a substantial shareholding but he dropped off the AIM Rule 26 many years ago, but he never officially informed the Company and with my perseverance he was forced to make a declaration but that declaration was economical with the truth.

On the PRN dated 30/11/16 it said that he had “disposed” of his entire shareholding of 28,279,039 shares. Now I attended a few AGM’s and I know where the 28,279,039 shares are. If a shareholder currently has 28,279,039 shares that is about 2.19% and not notifiable (now)

Mr A Villa previously transferred substantial amounts of shares to various charities that he was involved in.

Comparing QBT's Method C AI Bitcoin Mining to Faster Gold Mining.

I had started this Post last week but as I said my laptop charger was downstairs and I thought I would complete the Post later on Friday but our PRN on Friday arrived and I felt there was no need, especially as there were 716 Post on Friday and most likely my Post would either have been removed or lost among some of negative Posts. Anyway, I decided to totally revamp my Post and ask Co-Pilot to write it for me.

Exciting news from Quantum Blockchain Technology (QBT) last Friday with their announcement of Method C AI Oracle for Bitcoin mining! This AI-driven method is 30% faster at mining BTC, either by reducing energy costs or increasing hash rates. Imagine if gold miners could achieve a similar 30% boost in efficiency!

QBT's Method C AI Oracle:

• 30% faster BTC mining by predicting and skipping non-winning SHA-256 computations.

• Real-time mining with FPGA implementation, avoiding irrelevant calculations.

• Potential for significant cost savings and increased productivity.

Faster Gold Mining:

Both scenarios highlight the transformative power of technology in mining, whether it's digital or physical resources. But with actual Gold Mining you can only mine for Gold that is in your Mine.

With QBT what we have is access to all the remaining Gold in the ground in the whole world. The most recent available data for AISC is about $1,388 and if QBT were mining Gold with a 30% advantage that would be about $972. I know we are not mining Gold but…….

PS This is only the start. FG has played a brilliant game of chess, and there are plenty more moves to checkmate BrewHaha and his friends. The Options 100 million @ 5p & 100 million @ 10p were always the key. If you know FG you will know what he can achieve.

PPS With BTC hovering around $102,000 there is still massive potential with the change in Presidents next week.

Our 161,280 Acres

Mendel Helium have an exclusive farm-in agreement for Hugoton field with Scout Energy, which we have not had to pay anything to acquire. We will eventually have to pay $1 million either when we commence drilling or by the end of March 2025.

Nick has mentioned in the past that industry standard for access to similar acres is about $50 so we would have had to pay around $8,064,000 if $50 was the going rate.

This morning Mosman Oil & Gas (MSMN) issued an RNS and they are (will) paying $30 an acre for 4,320 acres ($129,600) and they could take 3 years to get to their end goal. MSMN currently have over 19 billion shares in issue, they also have other prospects which are producing.

Previously the acreage that MSMN has agreed to lease at Ute Mountain were leased to Four Corners Helium. On researching Four Corners Helium and Ute Mountain my research confirmed Four Corners Helium had secured the Coyote Wash Project at Ute Mountain, covering 4,300 acres. However, it appears that FCH did not proceed with helium production at this site. Instead, Mosman Oil & Gas (MSMN) has now secured approval to explore 4,320 acres at the same location.

Regarding helium production by FCH in Colorado since 2020, there is no information indicating that they have produced any helium during this period.

Also, there doesn't appear to be a helium gathering system at Ute Mountain like the Scout Energy Gathering System at the Hugoton Field in Kansas. The Hugoton Field is one of the largest natural gas fields in North America and has a well-established infrastructure for helium production and gathering.

Mendell Helium’s Nilson Well Success: StockBox interview.

Nilson well, using unconventional methods, has reached 108 mcf/day and ranks in the top 1% of Hugoton Gas Field wells, showcasing a new way to access untapped resources.

Strategic Expansion: Mendell plans to replicate Nilson’s success across its Scout Farm-Out Agreement, targeting 25 wells in the next 15 months while exploring diverse funding options.

Over 7,000 Wells have in the past been drilled / fracked in the Hugoton Gas Field and in the interview, Nick elaborates on the Nilson well being in the top 1% and informs us it is actually Number 2.

Today's RNS could change the Markets view of Mendel Helium.

We have a Well within the Hugoton Field that defies all conventional fracking.

Normally after the initial frack there is a decline but so far the Nelson well is increasing at 2 Mcf a day and is currently over 100 Mcf and still increasing.

Our well is within 1 mile of Scout Energy's Jayhawk processing system.

Mendel Helium have a farm in over 161,280 acres.

We closed last Friday at 0.75p – 0.80p

I am confident that when FG announces that he has filed our Patent (In Europe) that our share price will be many multiples of its current price and that all the Options will be exercised.

We were given an in-depth update on the 24th of October 2024 about Method C and the “Increased Performance”

The Company announced on 13 March 2024 the development of a proprietary AI Oracle, broadly defined by the R&D team as Method C. While the Machine Learning model has previously been defined as Method C, the result of its ‘training’ with relevant data is known in the industry as an AI Oracle. This Oracle is being used by QBT to implement its prediction engine.

Method C’s AI Oracle is able to predict the likelihood of an input to SHA-256 (the core algorithm to mine Bitcoins) to produce a winning Hash. Should the AI Oracle calculate that the current SHA-256 will not be successful in finding the winning Hash, it skips that calculation and moves on to the next input. In the March 2024 announcement, the Company reported that irrelevant SHA-256 computations were being avoided almost 30% of the time.

It was further reported on 15 August 2024 that, following further testing, the AI Oracle was performing real-time simulated mining, at historic lower mining difficulty levels, for the purpose of industry demonstrations.

The Company is now able to report that at a lower level of mining difficulty, the performance of the AI Oracle generated by Method C, used at the mining rig level, has been materially improved from 30% to more than 50%. Simply stated, this means that on an average of 100 inputs to SHA-256, more than 50 of them are assessed as not worth being calculated, since no winning hashes will be generated from those inputs.

The Company believes this is a major innovation, which undermines a key Bitcoin Mining industry assumption that the SHA-256 algorithm output cannot be predicted. The implications are, therefore, significant in that a Bitcoin miner operating with the AI Oracle at a lower level of difficulty than the current one, would be able to:

Double the mining rate in the same time period and Keep energy costs at the same level.

Mr. Rios is the former General Manager of Blockchain and Business Solutions in the Accelerated Computing Systems and Graphics Group at Intel Corp, where he spent 25 years. He was instrumental in the Blockscale ASIC project - Intel’s dedicated chip for Bitcoin mining – and he brings extensive expertise in ASIC chip design, production and proprietary architecture development to QBT. Mr. Rios has been privately consulting for the Company since the latter part of 2023, and has now agreed to accept the position of Strategic Adviser. He has already played a pivotal role in forging key relationships with some of the leading players in the global Bitcoin industry and he has also provided strategic guidance on the market positioning of QBT’s technology. Mr. Rios has actively assisted QBT at major industry events including, Bitcoin Amsterdam 2023, Bitcoin Disrupt 2024 in Miami and Bitcoin 2024 in Nashville, with plans to attend Amsterdam Bitcoin 2024. His close involvement with the Company will ensure QBT’s growing recognition at the forefront of industry events and developments. Mark is a lawyer qualified in England and Wales, California and New York. Based in London, he has extensive expertise in regulation, compliance and corporate governance. He is currently General Counsel for the Broadway Gaming Group, an enterprise in the online gaming sector with operations in multiple countries and licences from the Gambling Commission of Great Britain. He also maintains a private law practice that he established in 2008 advising on UK and USA-related financial services, stock exchange regulation, commercial contracts, M&A, corporate governance, compliance, and litigation.

There is a Premium Member who Posts on another share called “Cocobeans”

“Cocobeans” was vocal about a Company who granted Directors and some staff Options over 9.58 per cent of the Company's enlarged share capital.

The Options are exercisable at a Premium of 61% and 142%

QBT have Options over 207,500,000 shares at 5p & 10P

Looking at the most recent Annual Accounts for the dates of the QBT Options they were:

6/05/22: The share price was 0.80p

1/09/22: The share price was 0.75p

12/09/22: The share price was 0.70p

20/12/22: The share price was 0.65p

For a quick comparison of “Cocobeans” irritation at a premium of 61% and 142% the QBT Options using 1p rather than the range 0.65p – 0.80p then QBT are at a Premium of 400% & 900% and if (when) all Options are exercised then this would be 13.84% of the enlarged shares in issue.

FG like many other CEO’s utilises a Management Company (for good business reasons) to invoice QBT for consulting fees for R&D coordination:

Repo Rollover

FG entered into a Sale & Purchase agreement with MC Strategies AG (Eufingest) in December 2021 over 5 Million shares. This was to fund a tax bill.

What some Posters overlook is that the closing share-price on 31st December 2021 was 3.1p.

The sale & purchase agreement was for FG to sell 5 million shares @ 3p and 6 months later buy them back at 3.185p. So, FG would have received £150,000 to settle his tax bill.

As the Repo Rollover is still in place with a current repurchase price now 3.483p this would cost about £174,150 to settle. So why has it not been settled?

FG is not allowed to settle because he is an Insider, you can debate what Insider Information FG has.
