RE: Reality vs BS29 Jul 2024 19:14
GB1 Hope you’re right, but these are my numbers, show me yours?.
They had authority to issue about 791,818,950 shares remaining from the GM authority when they had the AGM which added authority to issue another 3,876,840,000 shares. Total authority after the AGM 4,668,658,950.
They then paid off 3 CLNs - totalling 730,064,434
and then a placing for 3,333,333,333.
That left ahthority to issue just over 605 million shares
Therefore since the AGM they've issued 4,063,397,767 shares which you may notice exceeds the authority given at the AGM of 3,876,840,000 shares.
Although the previous authority is meant to expire at the next AGM / GM there's a get out in the Resolution (at both GM and AGM), which for your convenience I've copied below:-
‘and provided that this power shall expire on the conclusion of the next annual general meeting of the Company (unless renewed, varied or revoked by the Company prior to or on that date) save that the Company may, before such expiry, make offer(s) or agreement(s) which would or might require equity securities to be allotted after such expiry and the Directors may allot equity securities in pursuance of any such offers or agreements notwithstanding that the power conferred by this Resolution has expired.’
