The UK establishment which allows them Companies House registration does come with the obligations but presumably would also provide the directors with the Limited liability protection.

MCnol, you are wrong there is a difference between FCA having no jurisdiction over a BVI registered company thus removing the FCA requirement to report significant changes, and the requirements of listing with Companies House. As HE 1 is listed with Companies House it is subject to Companies House requirements including the requirement to notify any significant change which takes place between annual confirmation statements. Changes must be notified within 14 days. You can educate yourself on the Companies House website and Gov.Uk website.
