Admission of Shares

Predator Oil & Gas Holdings Plc (LSE: PRD), the Jersey based Oil and Gas Company with near-term gas operations focussed on Morocco, announces that further to the Company's announcement of 1 August 2023 that it had conditionally placed a total of 90,909,090 new ordinary shares of nil par value ("Placing Shares") at an issue price of GBP0.11 (the "Placing Price") to raise gross proceeds of GBP10 million, and the subsequent announcement of 10 August 2023 that a Prospectus had been published to enable the admission to trading ("Admission") of the Placing Shares and 45,189,580 replacement shares issued to Paul Griffiths and Lonny Baumgardner, directors of the Company, an aggregated total of 136,098,670 Ordinary Shares of no par value, were admitted to listing on the Official List (standard listing segment) and to trading on the London Stock Exchange's Main Market for listed securities effective at 8.00 am today.

Due around 7th September. Might be too soon for confirmation of the Clinical Laboratory Fee Schedule. Buyers looking for good numbers on Tutivia.

Cheers they’ll get hoovered by people holding for the main event. Good to derisk though.

It’s what price the market and investors put on CIZ being fully funded, designing clinical trials, and moving to commercialisation in the US with 15% royalty.

Highlights:

-- Results up to 4.13g/t Au and 1.75% Cu for samples of artisanal mine waste dumps and outcrop at Suyay

-- High-grade gold and copper associated with structurally-controlled quartz-sulphide stockwork zones within phyllic to advanced argillic (clay-silica-sericite) alteration mapped over 2.5km(2)

-- Clay-silica-sericite alteration identified as a spectral anomaly as part of a regional target selection survey

-- Results indicate potential for gold-rich porphyry or intrusive-related style mineralisation.

-- Prospect ideally located within the coastal metallogenic belt with convenient access to road, power and port infrastructure

-- Further spectral anomalies within the San Lorenzo project ready for reconnaissance exploration programmes

The Suyay prospect was recently acquired via auction(1) as a block of eight concessions totalling 6.27sq km (626.5ha) and forms part of the broader San Lorenzo project. A regional remote sensing target-generation programme(2) identified the prospect as a distinct spectral anomaly defined by an envelope of clay-iron oxide alteration.

Cymru. RNS seems to differ from you explanation. If CIZ exercise the Put option the £3.25M will be settled by Conduit issuing shares at $10 per share to the value of the £3.25M.

It will be up to CIZ when and if they sell those shares and it it CIZ choice to exercise.

“Cizzle Biotechnology Holdings plc, the UK based diagnostics developer, is pleased to announce that it has agreed a put option to sell: (i) its 5% economic interest in the commercialisation of the AZD 1656 asset to treat inflammatory pulmonary and cardiovascular disease (the "Economic Interest"); and (ii) its royalty sharing agreement with St George Street Capital ("SGSC"), the UK-based biomedical charity (the "Royalty Sharing Agreement') to Conduit Pharmaceuticals Limited ("Conduit") for a total consideration of GBP3.25 million to be satisfied through the issuance of new shares in Conduit (the "Option").

The Economic Interest and Royalty Sharing Agreement were valued at cost, totalling GBP2,080,000, in the Company's 2022 interim results to 30 June 2022, announced on 28 September 2022. No profits or revenues were attributable to the assets subject to the Option. The Option is exercisable solely at the discretion of Cizzle and Cizzle has agreed to pay Conduit GBP120,000 in cash as the premium for the Option, which has a nine-month term.”

Joe if you get time go to MURF and have areas of prospectus for Conduit and plans for stage 1 trials

Agree Vince. And with independent fair valuation given as $12 per share for Conduit on NASDAQ listing the put would be straight into profit.

Without restrictions it’ll be interesting to see what price AS pushes the sell button if at all.

Sept 7th for the vote. Hoping MURF shareholders vote for all resolutions so the merger progresses without any delay.

They need to meet NASDAQ listing rules

I just had an Email back from official channels confirming the last RNS contained a typo.

The correct wording [CAPS] is:-

'The Company is now engaged in clinical trials DESIGNED to support the validation and accreditation of the CIZ1B test prior to commercial launch'

Good to finally put this to bed.
