RR recapitalisation package 'to increase, strengthen balance sheet and support long-term strategy'.
Package includes a proposed fully underwritten 10 for 3 Rights Issue of up to 6,436,651,043 New Ordinary Shares at 32 pence per New Ordinary Share to raise gross proceeds of approximately £2bn.
The Rights Issue is subject to approval by Shareholders at a General Meeting expected to be held on 27 October 2020.
RR : 'Having considered a number of different scenarios, and in particular a "reasonable worst case" scenario, we have determined that it is in the best interests of Shareholders to pursue the Rights Issue and Bond Offering now'.
eg, if you currently have 500 shares purchased @ £3 each ….
You will be able to buy (500 / 3) x 10 = 1666 new shares at a cost of £533.12 (+ stamp duty £2.66)
Your new 'break even' price (ignoring dealing commission) will be ((500 x 3) + 533.12) / (500 + 1666) = 94p
Share price now = £1.22.
The theoretical ex-rights share price based on yesterdays close of £1.30 is (1.30 x 3) + (0.32 x 10) / 13 = 54.6p
So that means, theoretically, that your rights issues shares are at a 41.4% discount (54.6p x 0.586) to the actual market value.
My participation in the RI will cost me £2371.20 and following the RI I will hold 2223 + 7410 = 9633 shares at a 'break even' price of approximately £1.34 …. I'll sell 'em at a tenner, £96k, lol I wish, but that is possible in 10-20 years.
The expected RI timetable is ….
23rd October 2020 is the date that your rights issue shares entitlement will be calculated, ie the number of shares that you hold on this date x ((1 / 3) x 10) = RI offer shares.
27th October : General meeting to approve fundraising (RI, etc).
27th October : dispatch of provisional allotment letters (RI) to shareholders.
11th November, 11am is the latest time / date for acceptance / payment of your RI shares.
12th November will be the 1st dealing day for the 'restructured' RR shares, which should 'theoretically' be @ 54.6p.
