Yes, I wonder why as well. Is it just lack of knowledge that this company exists so very few know about it? In which case it's great to get in before the crowd. Or some other reason that people just need confirmation of the deal close before committing to it. Wish someone could shed light on it.
Hard to put a number on it. Some of the more experienced guys may weigh in. But should be over £1 per share once the deal gets done which is already more than double current share price. Then I expect the company will be very well received by the Nasdaq investors and could go much higher. Medical AI stock, huge moat as years of development already gone into the product, little if any competition, US Govt funding and highly likely Barda contract worth $400-500m very soon. Looks like some very experienced management and board members too.

Might be nothing, but looks like one of Rosecliff’s tickers, RCFLW started moving today (up 23%). It appears this is its first day trading. RCLF ticker not much movement. Might be related to prep for the deal.
I bought a few more shares this morning. My trade has gone through at 8.11am, but in the Share trades table above it shows as a sell even though I bought. Could take off any day (highly probable the deal gets closed).

It is baffling. I would have thought this would run up to close to £1 and then flatlined until the deal is closed. Expect that some shareholders may take the opportunity to sell on the way up to take some profit. But I think it is much more valuable to hold and wait for the deal to be completed. Surely the only thing to prevent current shareholders receiving equivalent of £1.01 in USD is if the deal is rejected by one set of shareholders. But can't see this happening as the deal unlocks true valuation for Spectral MD and Rosecliff need the deal to happen. Patience and confidence in management should pay off.
Yes, it does seem like an incredible opportunity to virtually guarantee a doubling of your money. And it's a good company as well which should hopefully go up once Nasdaq listed. I also always question why more people aren't investing. It may well be that very few have heard of this company. I wouldn't have known of it's existence if not by chance of reading it in the stock section of that newspaper. Also, then if by chance they do hear about the company, many people won't actually know about the transaction going on. Does anybody else think this is a true open goal to double money (even before potential rise in SP after listing on Nasdaq)?
From the Registration Statement my take is that Spectral MD shareholders who back the deal will automatically be converted to the RCLF nasdaq listed shares at the USD value equivalent to £1.01 per share. Then on close of the deal, RCLF will become Spectral AI (ticker: MDAI) on the nasdaq. So ultimately Spectral MD shareholders will own Spectral AI listed on the Nasdaq. Not sure about ISA consequences. I currently hold Spectral MD shares in my ISA. I'd assumed that the new shares would just remain within the ISA. Would be good to hear any other opinions from Jimzi etc. This is the first time I've been involved in such a transaction so all expertise is valued.
I first read about Spectral in the Mail on Sunday on 12th March 2023. It stated that the US Government believes in the business and the market opportunity for Deepview is huge. It got me interested to follow it, then a few weeks later the news came out that it was going to list in the US with it being valued at £1.01 per share. So I bought in at 40 pence per share. I feel it is one of those gems that Wall Street doesn't know about yet. From what I have researched it's a very useful and unique product which is hard to replicate given the years of AI development that went into it. There is a big market out there for it (both burn wound assessment and diabetic foot ulcers) and the fact that the US Government likes the company gives assurance. They are helping it develop a mobile device for the battlefield. I think it will go far and I wanted to get in because if the deal goes through as planned, from what I see it seems a certainty to more than double my money. It's also good to be in early before mainstream investors and Wall street start picking up on it. Just my opinion, but I've seen enough to believe in this.
Post confirming that no delay to the deal is expected by Spectral MD. Still on track for Q3.

Thanks for the info Jimzi. That put's my mind at rest. It's an excellent and difficult to replicate produce that Spectral produce and the US Government love it. So good times ahead. Looking forward to seeing how the next few weeks unfold.
Excellent to find this chat as no comments on yahoo. I’m excited to be invested in this at 40 pence per share. Seems like a sure fire winner being valued at £1 when listed on Nasdaq. Just one thing, I noticed an 8k filing by Rosecliff on Friday night saying that they are not compliant with a Nasdaq listing currently as 500k shares must be held or in the public domain. For any more experienced investors than me…..is this something that Rosecliff can manage and will it impact on the Spectral MD merger? Rosecliff already had a warning previously and have requested a hearing with the SEC.
