In contrast Ophir were offered initially 46.1% to their closing SP and 26.4% premium to their VWMA(90) ..... however these offers were increased slightly at a later date ... this too was hostile takeover.

As for "would take into account the average shareprice over "x" amount of months?..." for example, our VWMA(100) is currently 105.9p, RRE were offered a 91% premium to their VWMA(90) and 64% to their closing SP.

Sorry, but I do not believe that to be the case. They had to under law instruct SQZ when they disposed of their holding .... Yes if a large sell was being worked for weeks months and we got the TR-1 that could be the case. However in this case we already had their first TR-1 on Monday for a tiny 0.3% to take them down to 16.99%, two days later another for a much larger change to their holding, 2.53%. Not sure if you are able to 'overlap' disposals within the letter of the law or not, "Date on which the threshold was crossed or reached". If not, then the 2.53% was 'moved' to a new holder over the past 2 sessions, maximum, hence off-book. That said as I noted in earlier posts, we have had some very large transactions over the past month or so.

To some extent I would agree EXCEPT, they have sold for the very first time in years and large amount today / yesterday which were OFF book as the volume over last two session has been no where near 2.7%. Also no other major holder has sold that we know of atm, just GRG. Also we are yet to find out who the new holders of these shares are.

Are GRG just 'housekeeping' if so, little rushed I would say, or are they dealing off book with a third entity wanting a significant holding for the reason as of yet is unclear. I have my own thoughts, so I will keep watching the trades as I have been and for sure this weeks actions by GRG are interesting if nothing else.

Short answer is NO, not always ..... as it depends upon who acquires the shares ie Market makers can hold significantly above 3% without, if I recall correctly, up to 10% I believe and there are different rules for overseas holders too and for orders yet to be completed above 3%. So an order for 4% could be placed and will only be notified once the 4% has been fulfilled.
