The bit I don’t understand as a naive PI is the people who control the price, ie the MM’s also control the II fundraising, surely this is a massive conflict of interest and a way to scam PI’s at every turn and restrict companies growth potential?

They were / are. Personally I don’t see the point now, prefer the model where they make hydrogen fuel and syngas to power the grid.
