All good things......this all hinges on the Ruyi deal at the moment and nothing else, although I'm sure we'll have a flow of good news thereafter to take the sp towards double figures under Ruyi's influence and direction . It'll be a calender month this Friday since the EGM and the following link suggests that Chinese regulatory approval takes a month or two at the most, and so news could be very close.....Excitement building in anticipation of Rns release....Tick Tock:-)

Following completion of the acquisition Bagir will own 100% of Nazareth Garments after it bought the first 50% stake in November 2014, and it has since invested in developing the manufacturing site with new machinery, this resulted in the company completing its first international export order for Swedish clothing retailer H&M in late 2016, along with a trial order for Haggar CLothing, a US men’s trouser retailer.

Over the next five years, the company intends to invest and expand Nazareth Garments further. The group said that Ethiopia has strategic advantages in terms of its duty-free export status for sales to the UK and US, low production and energy costs and proximity to Europe, which it believes will become a viable option from where international retailers will source significant volumes.

Bagir 's annual sales revenue is c $50m and they've been busy implementing cost cutting measures and stream lining production operations at their factories in Vietnam and Egypt and have already made significant progress in expanding operations at their duty free Ethiopian manufacturing base which will be accelerated with Ruyi 's $16.5m cash and direction....I believe that H&M in the US are one of Bagir's major customers for existing production from Ethiopia, and so one can imagine that sales to H&M will rise expotentially as production is ramped up....and then of course with Ruyi on board, the massive Chinese market will be wide open and so the numberscould eventually be jaw dropping. ...in the meantime we should see the sp pushing higher as buying volume picks up in anticipation of imminent deal news....Excitement building for all Shareholders....and those that don't hold at the moment better get a move on , or will very likely miss out on the re-rate on confirmation of Ruyi's 54% controlling stake and receipt of $16.5m cash Gla....it's going to be BIG!! :-)

CEO Eran Itzhak said: “Alongside our trading performance which reflects the investment we have been making in expanding our Ethiopian production capacity, we have made significant progress since the year end with the strategic partnership with Shandong Ruyi. [This will] support the growth of the business, in particular the expansion of the Ethiopian manufacturing site. This investment together with being in partnership with Shandong Ruyi will undoubtedly be transformative for Bagir.”

The article confirms that news of Chinese regulatory approval for the deal to proceed is likely to be very close....and Ruyi must have an excellent working relationship with all departments given the number of M&A's and controlling stakes already approved in recent years, many worth hundreds of millions of dollars....Not long to go now imho... 4 weeks since the EGM this coming week, and so i'd be very surprised if we don't see a significant upturn in buying volume from those that don't want to miss out.....Ruyi must have a very close working relationship with all of the Chinese regulatory authorities, given the number of acquisitions and controlling stakes that have been approved over the last couple of years, many worth hundreds of millions of dollars, and so presumably a mere formality on $16.5m cash....News must be very close imho Gl ;-)

The deal has to be approved by the appropriate Chinese authorities before Ruyi can make payment and take their 54% controlling stake in the business.......anytime now imho. Gl ;-)

Completion of the Proposed Investment is now conditional upon satisfaction (or, where applicable, waived by Bagir and/or Shandong Ruyi Technology Group) of the obtaining of all necessary approvals by each of the China Provincial Development and Reform Commission, the Department of Commerce and the State Administration of Foreign Exchange and the receipt of the Cash Payment from Shandong Ruyi. On completion of the remaining conditions, application will be made for the New Ordinary Shares to be admitted to trading on AIM.

The Board looks forward to updating the market on the completion of the Proposed Investment shortly.

Eran Itzhak, Chief Executive Officer of Bagir, said, "As we expected, the EGM has confirmed that shareholders of Bagir are strongly supportive of Shandong Ruyi, the global textile manufacturer and retailer, investing $16.5 million into the Company to become the majority shareholder and close commercial partner. The future potential of Bagir has as a result been significantly expanded and as a management team we are looking forward to developing the business alongside our new global partner."

The Chinese textile manufacturer approached Bagir in June 2017 with conversations initially centred around the Ethiopian operations before widening to the whole business.

Shandong Ruyi is expected to make substantial cost savings from the deal. Itzthak said the numbers spoke for themselves: In China the cost make per suit is $18, which is not duty-free , when it comes to the US, theres an added 28% on top of costs. But the cost per suit in Ethiopia is between $3-$5, and its duty-free to the US and Europe.
