Welcome to Nanoco! We are very pleased to have a person of your calibre join the board as a NED. As you've said, this is an exciting stage in the company's life and we hope you contribute to its success.
You no doubt know plenty about Nanoco's technology and its potential uses. What you may not know much about, unless you've read the last 18 months of this board, is how the majority of shareholders feel about the board, particularly Brian Tenner and.Chris Richards, and to a lesser extent Liam Gray.
In short, there is little to no shareholder trust in these individuals. This stems largely from the settlement with Samsung, which although highly respectable was significantly below what shareholders had been led to believe by Brian Tenner. Hence the halving of the share price since. Further to this, the board's reaction to shareholder disappointment was defensive and contemptuous and came close to "gaslighting". Since then we've come to realise that additional license agreements are much further away than we were led to believe and potential display customers haven't materialized. We are also now in the middle of a debacle where we have at least a 2 week delay to announce plans for the capital return when the board had a year to prepare.
I mention this because your role is to oversee the board and you have a duty, if you think board members are incompetent, to try to remove them. None of us shareholders know exactly how competent the board are, but we urge you to look very critically at BT, CR and LG. You may not have the numbers to do much now, but when Dr Jamil joins the board and Chris Richards retires you may have the strength in numbers.
Another way to look at it is this - are Brian Tenner and Liam Gray of sufficient calibre for the next stage in Nanoco's journey? If they are not, we trust that you will be able to replace them with better qualified people.
