MOSCOW, March 27 - PRIME. International mining Eurasia Mining plc buys 75% from a subsidiary of Rosgeologia for 500 thousand dollars for the implementation of joint projects to search for metals in the Murmansk region, the Russian company said in a statement.
"Rosgeo JSC and Evrazia Mining plc have signed an agreement providing for the implementation of a number of joint projects for platinum group metals, copper, nickel and cobalt in the Murmansk region," the message reads.
"Within the framework of the pilot project, Eurasia Mining acquires a 75% stake in a junior company part of Rosgeologia Holding for the amount of $0.5 million with an additional payment (Earn-out) based on the results of stock calculation according to JORC standards and fulfillment of other conditions," the release adds.
At the same time, Evraziya Mining will receive a call option to buy back the remaining 25% of Rosgeologia's share in the joint venture after calculating stocks according to JORC standards.
The operational management of the joint venture and the pilot project will be allocated to Eurasia Mining. In turn, Rosgeologia will invest the accumulated experience and competencies in the joint project, including geological exploration and geological consulting services that will allow you to get the effectiveness of your partner's investments in the project.
As the head of Rosgeologia Sergey Gorky noted, whose words are quoted in the release, the agreement creates significant potential for increasing the commercial contract base for geological exploration for divisions of the company's north-western division.
"We are pleased to significantly expand our portfolio of assets on the Kola Peninsula by adding subsoil areas adjacent to our current Monchetundra project and creating a unique platinum group metal mining area here," added James Newvenheis, CEO of Eurasia Mining.
