It’s certainly not a done deal. Lumon or a new bidder may be accumulating at this price. The board have agreed to sell but until they secure 75% it won’t go through. The court needs to investigate whether a transaction at undervalue has not occurred to protect shareholders. If Lumon are buying up 30% a bid may follow. It’s why IFX have provided for in their offer that they may change from a scheme to a Bid

As i said to ilovesushi this has always been the definitive lifestyle company

· EBITDA margin of 8% comfortably ahead of previous expectations of low single digit EBITDA margin

· Operating loss of £0.2m (12 months to 31 December 2023: operating profit of £8.1m), with margin reduction as a result of planned investment in business transformation

· Strong balance sheet: debt free with net cash of £18.4m at 31 December 2024(

Trading update

We are pleased to report that our business has performed well in the first four months of the year, with NIOX sales growing 21%1.

The clinical business has delivered sales growth of 10%1, which is in line with management's expectations.

The research business has had a strong start to the year, with revenues more than double those achieved in the first four months of 2024 and ahead of management's expectations at this point in the year. This strong and encouraging start is due to an increase in clinical trial activity that includes the use of FeNO testing in both asthma and COPD. It is too early to discern whether this strong performance will persist throughout the year, as clinical trial demand is outside of NIOX's control.

Net cash as at 30 April 2025 totalled £14.5m after the payment of prior year bonuses in April, compared to £10.9m at 31 December 2024.

One-off exceptional costs associated with the withdrawn bid from Keensight totalled £0.3m.

That's a large amount ..nearly 3%..you must be positive about PYC then which belies your virtually constant negative points about any news releases they've done over the last 2mths

Proposed cost reductions

 

The Company's current operating cost base is approximately £650,000-675,000 per month. Subject to the completion of the Fundraise, the Directors have identified cost saving measures to reduce the monthly cost base to approximately £250,000. The Company currently employs approximately 60 staff and the planned cost savings would primarily be achieved through a c. 40% reduction in staff numbers, with the majority of headcount reduction being implemented in the UK and US. It is intended that the majority of the Indian team would be retained as that team has been recently restructured. The Directors also believe that software and licencing costs (due to reduced headcount, hosting services and project costs) can be reduced by c. £45,000 per month.

The Issue Price represents a discount of approximately 63.6% to the closing mid-market price of an Ordinary Share on 12 May 2025.
