In light of the significant efforts that have already gone into raising additional funding leading to this proposal the Company is cautious about the prospects of securing further capital on terms more favorable to the deal which necessitated this shareholder vote. However the Board would continue to welcome and encourage any alternative financing proposals from shareholders or other interested parties that could support its ongoing growth and strategic objectives."

NG no fool, he surely has a plan….what you guys should be asking is where did over 10% other NO votes come from…looks as though NG & these other investors have come together with a plan with a new BOD / Funding solution…?

Expect now new BoD, resignations and new funding / new investors…all change I can see. Existing BoD are FINISHED!

Rocket now, NG only interested in shareholder value…he bought around 0.7p already!

Shareholders can reject next month if they don’t like, it’s no done deal….the passing of a shareholder resolution ("Waiver Resolution") to be proposed at a general meeting of the Company to be held on 3 November 2025 at 11.30 ("General Meeting") to waive all and any pre-emption rights in respect of the issue of (a) shares to cover repayment should YA exercise its conversion rights and (b) any shares to be issued pursuant to the ATM;

Also this us a master stroke conversion will be at 20% premium…

RNS extract: The CLN can be converted into new Hamak shares by YA at a 20% premium to the lower of:

(i) the Closing Price of the Shares at the end of the trading day immediately prior to the Completion Date (being the date on which all conditions precedent to drawdown of the funds are met); and

(ii) the average of the VWAP over the five trading days ended on the trading day immediately preceding the Completion Date.

Both companies have same BoD - AZ and Albert Ganushin..RTOP got suspended and then delisted, now website says ‘check back later’…once off market these BoDs are unprofessional and awful, zero updates there for 7 months now straight…at least there is hope for SYME!
