Read my earlier post, you’ve misunderstand the RNS. R8 has NOT invested in Raquets! VVV are making an investment with R8 directors appointed over there…R8 directors are investing there, R8 getting some £300k worth of shares in VVV for free alongside VVV taking all of R8 debts. Crux of it R8 now debt free with existing business…all win-win here lining up for an RTO target!

…there surely something big going on behind the scenes and as part of this must be to wipe out the debt, so it’s highly the company is positioning itself for a reverse takeover. The R8 RNS was clearly rushed out and that is why the company literally said very little other than c&p VVV RNS. So we should here more here soon!

The mayhem in the markets on Thu afternoon with many stocks rising, and then derampers attack on these to arrest the rise…it appears that many investors misread the RNS! After reflecting over the weekend I see I also completely misread the RNS and that this is way better than my initial read…

The name change business change to sports sector (paddle tennis etc) is associated with another company called VVV listed on AQSE. But as of this change MODE directors have agreed an investment & directorship in VVV, and as part of this agreement R8’s £2.5m is completely wiped and will be transferred to VVV…leaving R8 completely debt free!!

With zero debt, R8 still holds the crypto licence AND there is no change to R8 business, it’s directorship or strategy. Its a complete win-win for R8…the way I read this, happy to be corrected…

Think we will also get news on the Crypto licence soon, obviously the company still has the most sought after FCA Approved Crypto Licence. With the business change, it would be interesting to see whether they put this entity holding the licence up for sale or create a devision?

You actually read RNS? It’s a new business now all debt you had whilst crypto licence of £2.5m of it…you seem oblivious to this…it needed paying and was a liability…now is wiped clean by the new investors!

With regards to Crypto licence, they still have this and they can decide what to do with it…!

Minimum underwritten £1 million subscription by Campana Investments Limited (“Campana”), a Guernsey based company ultimately controlled by David Rowland.

Proceeds will be used to underpin strategic re-focus of the Company towards the sports services sector.

Jonathan Rowland and Richard Morecroft joining the board with immediate effect.

Subject to:

the resolutions to be proposed at the Company’s forthcoming AGM being passed; and

agreement being reached with the principal creditors of R8 Capital Investments PLC (“R8”) (a company closely associated with both David Rowland and Jonathan Rowland),

the Company will assume circa £2.5 million of R8’s outstanding debt in exchange for the issue to those creditors of a corresponding number of shares in the Company at a price of 1 pence per share (“Debt for Equity Swap”).

VVV will also be issued with 2,619,782 ordinary shares in R8 as part of the arrangements.
