The tax is triggered by the award and not any sale. These are nil cost ( nice) awards so it is all taxable benefit.
The basic tax rule is that if the employee or director is given shares for free or pays less than the market value of the shares at the time of award a charge to income tax and sometimes national insurance will arise. The tax charge will be the difference between market value and the price paid by the employee.
“In order to comply with the rules of the scheme, a number of the shares will be sold to meet tax and fee obligations. To meet the exercise of these options, the EBT purchased ordinary shares of 10p each in Nanoco on the open market of the London Stock Exchange.”
So it appears the company once the exercise of the deferred award was triggered bought 928580 in the market for the employee benefit trust to meet its obligation and then sold 433982 shares to meet the tax obligation of it being a taxable benefit to staff as is often the case. So it looks like there was a 494598 shares net purchased in the market in the past few days on top of the ongoing share buyback. Allowing this to a major capital event when the company is in the process of completing a capital distribution through on market buy back looks wrong..since it was transactions effected for the benefit of employees know the dates and prices of such transactions would be appropriate.
Yes odd they are selling in the market to cover tax expenses and costs at the same time as the company are being the primary buyer in the market..not sure why they are doing this now when there is little real rice discovery post the distribution..i can guess though.
Given far too much open and honest time to a bad actor who is becoming rather obsessed ..unfortunately i know the type.

For goodness sake ..they have said it is STM that placed an order for 2 materials..it is unusual that they do not disclose the quantum of the order. They gave some previous guidance that it would be low $ millions and then dropped to the $100ks now they will not divulge and recognise anything tin the revenues released or forecast for current year. Is that not odd.
Confidentiality around jv ( not really) , end user yep but not around how much they sold and for what ..it was received , produced and shipped and invoiced within a few weeks. Why not be open and tell us the financials..it is a continuing obligation to keep shareholders in a listed company informed,,otherwise how can we tell how revenues might build as they say they will?
They did muck about with the European customer for a bit but after they had announced the jv and their marketing put STm in everything. It was also obvious sometime before the confirmation that it was STM from stuff STM put out.
So confidentiality when it suits is my view.

I’m a private investor who does not have to work. I do not operate with any other poster. If you track back I first got involved here at 19p I think Nov 2021..I traded out and back in on sentiment swings up to the settlement where I feel there was very poor communication and guidance and that the company made matters worse by the explanations of why they would accept such a settlement which seemed against all previous comms .So yep their attitude pee’d me off..and not just me as it goes.
More recently I bought more sub 20p at what appeared the cash level.
The company gives very little information around it commercial endeavours and we have no idea the underlying customer ,product ,size of order or whether it will likely be recurring. We know nothing and can’t even pinpoint what an order might look like from the financials released. So yes I ask questions especially when things don’t add up..that’s normal. And I follow the company very closely now…there is no independent research done so you have to as the company in the past has tended to move the goalposts on its timelines.
You making up all these wild and wonderful theories why people post on discussion boards I think is far more bizarre.
Yes I tendered ..yes I might buy some back at the right price.

Charty you have clearly stated that you think there is some cabal operating to depress the price or undermine the company whatever takes your fancy, but certainly along with xenon have accused some posters who bothered to calculate the post tender position ( such as loam likely did) that we were trying to get the price down..factually it ia a small still unprofitable technology company ..if you are referring to me as her you are misgendering i guess on purpose ..which seems childish.

Troublesome Loam would have had a one to one meeting with the company after the interims before deciding on what to do in the tender…it is not a great vote of confidence in the long term tendering their entire holding. But maybe there is a cunning plan that is not as transparent as that that someone can make up and post?
