They pitched at a level that would scare PIs into running for the exits and that worked fine for them. Canaccord has bought some votes up very cheaply. ODDO knows the score. Their MINIMUM return is 2.8%, but their MAXIMUM depends on whatever Fiserv are FORCED to pay. PE, VH and other culprits have been softening up PIs for well over a year and it has worked in getting expectations lowered. Not with me, it hasn't. Mr Cameron needs this deal to go through. He was given the benefit of the doubt with his "timely" share sale pre the VISA dump. After this, no-one will let him run a burger stall. 7p MINIMUM. GLA

Pokerchips, I agree with you. Guesstimating, you have always done your best to talk Moni down. Full marks for consistency. My view is that investors are being mugged. As a non-investor, I appreciate you have a different view. I have nothing else to say to you. :-)

Spikeyj, this is a lowball offer. Mr Cameron is sorted, so cares not that the 2.9p offer is pants. Everyone knows that shareholders are being mugged. I doubt that anyone invested in Moni to get the certainty of a derisory offer. The lack of an option to have shares in the new Fiserv entity just underlines the fact that they are being gifted this by the current bod. Fiserv will pay more if Canaccord can't buy enough votes first time round.

If they can't buy them at this price, they will pay more. If they can't buy enough votes, they will have to offer more. Finserv will want to get this wrapped up asap,

Was it Canaccord that decided the 2.9p offer was reasonable? I wonder how much they are being paid to buy up PI shares? I wonder how many shares need to be bought, to make the bod vote safe? I wonder if the initial bid was pitched at 2.9p to see how many PIs would cave in to it? I wonder if they will be appointed broker to the new fiserv entity? I wonder how much they might be paid by the new fiserv entity, if they are appointed? I'll wait for the first bid to be voted down. They worst that can happen is that I make another (2.9p - 2.82p) per share, between now and September. That's another 2.83% over the next three months. I get paid that small premium and it keeps me on the pot, in case the offer is voted down, OR someone comes in for asset stripping.

I made my first buy at about 6.7p ish. "In reality, what happens if the offer is rejected? The BOD sound defeated and seem very downbeat on the companies prospects without a buyout and if they hold this view, I doubt they have the motivation to try and turn the company around." If the vote is defeated, as I hope it will be, fiserv will up their bid. They stand to pick up FINKit for nothing, taking 2p cash in the bank, 15p in tax losses and probably about 3-4p for MVC. The bod sounds defeated because it suits their personal finances and career prospects, IMHO. Now we know why all the derampers put the hours in.

Monitise will have to send out voting forms to every shareholder. If your shares are held in a nominee account, e.g. AJ Bell, they should arrange that for you, it there will be plenty of discussion on here at that time, so you will be able to chase them up, if you don't have yours by then. There will be a proxy form with that.

I agree that a deal will be done. Mr Cameron has no regard for PIs - that much is clear. He will care about his new position, remuneration and options. There is NO incentive for him to try for a higher price, UNLESS we can get enough votes to sink his cosy deal. Fiserv will come up with a better offer IF they are forced to.

Banglemoose, you can never mitigate against being stabbed in the back, BUT I have made a profit on every Moni share I have bought, since I posted that. You were another of the "bust by Christmas" gang, so you have no profit AND nothing to crow about. :-))

Simply put, Moni is worth 15p in tax losses, which is the why fiserv is setting up the "special vehicle" in the U.K. Judge for yourselves why Mr Cameron has decided that 2.9p is acceptable to "stakeholders". He is a stakeholder. This does not mean it is acceptable to "shareholders". He is a very minor shareholder, as has been debated here regularly and at length. If enough shareholders REFUSE this offer, what will happen? Will fiserv decide that they can't afford to pay 2.9p for the finkit IP, the 2p cash in the bank, the 15p tax losses and MVC with its £14m annual turnover? Or will they up their offer? Obviously we will not get fair value, since the BOD have terms of employment that persuaded them that the whole package suited THEM, but we will get a BETTER price. That is why I will vote against their recommendation. I won't be doing vomit. This is aim and self-serving is not illegal, however distasteful we may find it. We have one way of stopping this and that is to vote down any deal that does not suit US. GLA
