these russian wan..kers are playing us all and mopping up all shares traded on lse from scared westerners selling out for peanuts with the aim of delisting and transferring the whole shares issued to moex, they will then only have to pay full value the the diehards left.

have ummc bought the actual debt off gpb ? ie paid the scheckles to them

because if pog goes tits up ummc vulnerable to losing all like shareholders
I wouldn’t pay gpb full value for that type of risk especially when they could of used the money to buy pog with no hassle / risk

Re. Stukov tried to sell his 29% share to pay a tax bill. I doubt that.
If he needed £30m (sale value) to pay a tax bill he’s no billionaire
He was the front man for gpb - they were the real owners of these shares, as they were with the IRC fiasco.
gpb tried to sell them before all this **** / region backed out when the smelt the ****

Dilution deffo on cards because of ummc (extra shares issued) whatever happens, but value of pog should increase from 68m mcap surely, so neutral sp

But a large stakeholder today is only £3m are they also like us bettin on red or black? + who can they sell to….. pi’s ? doubt it !

Jayz good points, but Alix partners also are top administrators / liquidators (ie restructuring)

If ummc are friendly for shareholders no probs we all win.
If not then its a poker game and as daft as it seems a threat of full liquidation would also fcuk ummc (as after bond holders paid I doubt there be much left to pay ummc back their £250m)

So as someone else said our ‘leverage’ for a good deal from ummc is the threat of a bad deal for everyone

How to take control of POG for nothing!?

1. pog defaults in servicing gpb debt
- sanctions mean pog cant pay gpb directly

2. gpb call for debt to be paid in full
- even if pog could find alternate finance or investor it still can’t pay gpb due to sanctions

a default has occurred……..
pog have admitted to this as they have now informed the bond holders (last rns)

3. gpb assigns debt to ummc
- ummc either paid gpb £250m for this, or more likely been given it (for % of the carve up later) and to keep gpb out of the eventual news story

gpb have form here as I’m sure they borrowed Strukov the money to buy his stake in the first place.

4. export licence….. not sure what this is going to achieve ???

- my understanding is the offtake was not assigned to ummc so pog still can’t sell any gold (gpb sanctioned)

- if ummc are the new offtaker why aren’t pog selling to them now ?

- pog would still need a waiver from either gpb or ummc (offtaker) to sell to others anyway ?

5. Even if an export license and a waiver is granted pog haven’t got £250m of gold in stock to settle the loans in full anyway.
So would have to ask any potential new buyer for forward sales upfront - that won’t be an easy thing to achieve.

6. ummc now accelerate the debt

pog would then hit a dead end !!!!!

7. this then could go a few ways

- pog challenge debt default in courts (russian debt / russian court) no hope

- administration (shafted)

- ummc picks the assets it wants at fire sale prices in lieu of debt (pog then worth nil / miners jobs gone even the bond holders get shafted)

- full hostile takeover by ummc at fire sale price (shafted)

- pog accept ummc have won and convert its debt to equity

£250m debt to equity
pog has currently approx 4 billion shares @ 2p = £80m mcap

£ 250m = approx 12 billion new shares would be issued

ummc would own 75% of company

Job done

What happens to the share price if this happens is anyones guess…

but…. let’s hope it’s this……

It reached 1.2B mcap in 2021… so could hit £2B mcap in future without all the debt

Hello everyone, I've held pog for a couple of years now and read this forum for same, but never posted before so bear with me....

I would just like some insight from the more knowledgeable here

if from RNS - FY 2018 Outlook is:

Production: c.420,000 - 450,000oz
AISC: c.US$1,050 - 1,100/oz (thought it was closer to $800/oz)
Capex: c.US$105 - 110 million
Gold Price circa $1250/oz

Old Bonds - $200m (amount? / paid? / outstanding?)
New Bonds - $500m
IRC Loan/guarantee/Nepotism costs - $200m

Gold sales = $550m pa
AISC = $500m pa
Interest on bonds/loans/IRC repayments @ 8% = $50m-100m pa
Capex = $100m pa

= Loss $50-150m pa ??

with 2019 better / but of similar ilk

Am I missing something? (re. debt / bonds)

- Is pog making money or just existing to service debt / bonds / salaries of BOD ?
- What did pog do / intend to do with the money from the new bonds ?
- did they even need the extra $500m ?
- couldn't some be used to get rid of IRC guarantee / Old bonds ?
- Who owns all these bonds ?

will continue to hold / hope for the light at end of tunnel
