As I've previously mentioned, the 100:1 consolidation is to be voted on in two weeks time at the AGM. Once that resolution is passed, I suspect you'll see a US OTC listing very soon after, which probably unlocks the door SP rise.

Market-to-Net-Asset-Value Ratio (mNAV)

As of 04 August 2025, the Company's market capitalisation at the time of this announcement is approximately £2.79 million and the total value of the crypto asset holdings in treasury is approximately £2.68 million, resulting in a market-to-net-asset-value (mNAV) ratio of approximately 1.04. This ratio provides a simple measure of how a company's market capitalisation compares to the assets it holds. A lower mNAV may indicate a closer alignment between the Company's market value and its digital asset treasury.

Crypto holdings now creeping back towards £3m - mcap dwindling down towards £3m - nearly equal.

This suggests the market is pricing Kingbridge and System7 as nil - not to mention the revenue from staking, and any existing cash reserves.

I might be stupid for saying this - but I think this is the bottom.

Nobody has any patience, would prefer to sell for a loss and chase another rainbow.

So they'll be issuing 3.3b shares to directors of Kingsbridge, and that will provide access to £375k of cash/crypto. Interestingly, based on yesterdays bid price, Kingsbridge are only getting 500k worth of shares. Looks a decent transaction - basically getting the Kingsbridge IP for £125k.

Reduced costs for anything crypto related, and will carry over Knightsbridge's existing cash and crypto reserves.

Special Business:

Clause 8. THAT pursuant to the requirements of section 618 of the Companies Act 2006 each of the 100 ordinary shares of

£0.0001 in issue be consolidated into one ordinary share of £0.01 each.

So a 100 x 1 consolidation is to be approve/applied. I would consider that EXTREMELY significant news. This allows a LSE listing or OTC listing for the US, and was something that the directors discussed on the recent AMA investor call via X.

When the wider market wakes up to this news, expect fireworks.
