Joseywales, agreed a CFO departing at such short notice, tends to be a cause for concern, but sometimes there may be personal or health reasons which can warrant the move. Not saying it is here, as we dont know, but it's good that a ready qualified replacement in the form of another board member is happy to step into the role, to keep the ship steady until a replacement is found.

It appears the director of ITSUM Ltd, is someone called Duncan Mcdonald. According to a quick Google search, this reveals a person who has a history of buying names of newly setup companies and then selling them back.
Not sure if it's the same person, but interesting nonetheless!
New here, decided to buy a few today.
As I read through the capital reduction RNS, this seems to me the company is intending to action a buy back of approximately 10% of their issued share capital and then cancel these. I note the Results are next Monday, but does it appear likely this could be one of the initiatives they deploy to return capital to shareholders?
Looks a decent business from the face of it, growing revenue, cash generative, no LT debt.

Mick,250k seems an absolute steal for a shell. That's effectively the annual costs associated for listing, let alone all the steps required to get listed in the first place.

I had a think about this. If there is a deal to use this listing, then theoretically the interested party may be wise to liaise with the CEO of ITS to purchase his holding in the company to give them a majority stake in ITSUM PLC. >20%.
Could that then shield them against having to buy in the open market, thus having to declare TR1's once over 3%, which cause likely cause the SP to Spike and thus increase the cost of them obtaining the shell.
Any views on this?

Hmm, why is is still trading? Surely they need to put people out their misery by now. People now speculating this is all a ploy, but honestly, it looks to me like they are preparing to suspend at any moment to preserve capital for the creditors.

I agree with this sentiment, because why not pay 300k for an instant listing? Rather than go through the whole IPO rigmarole.
Took a very small position here 250k market cap seems overdone with the expectation of almost double that in expected distributed proceeds.

Great view on Revenues MB10, do you have associated COS and OPEX also, to get a view on the outflows? That way I can simulate my model to help get a view if this company is worth a punt to me. No worries if not, i'll use historics. Are they planning to clear the PP facility also? Dont like such high cost, high risk arrangementals. BR.
Hi guys. I was pointed here from another board. Taking a look at this business, it looks to have huge revenue potential, but I notice they seem to be burning a lot of cash and therefore require the support of shareholders through placing of shares. I see they have debt finance, but is this convertible to equity, thus dilutive to existing shareholders? I have been involved with such companies where they will place shares shares, build a strong revenue base and then start taking on debt finance which gives the lenders conversion rights. They then subsequently dilute existing shareholders who have footed the bill and take control of the business. Not invested, but interesting business.
On the up, and always pleasing to see FCF increasing which is a great bonus. Had a decent pint in my local yesterday evening. Keep up the good work spoons!

Legal, there's certainly a lot of what ifs.
Increasing interest rates boosts profitability, but it will also cause some borrowers repayments to increase, not to mention those coming of the cheap as chips fixed rate deals of the last decade. I think there is likely to be a real struggle with repayments for these individuals, leading to increases in forbearance.
Increased interest rates also reduces property demand, which leads to lower property valuations, with predictions as much as -20% forecast for the next year.
Higher interest rates, coupled with reduced home owner equity, is when we will start to see the problems unfolding. This is when we start to see LTV's increase, coupled with people who simply can't service the interest on their loans. As you alluded to the 100%+ LTV in Northern Rock.
Let's wait and see.

Leen, I agree. This company has got to where it is from splashing out on marketing via influencers on social media.
They are a marketing business, who import and sell clothes from China.
Facts:
-Company is ran like a charity at present, not a PLC (donates profits to charities it runs campaigns for)
-Is going to be needing long-term funding, relatively shortly be that Equity (most likely) of Debt (doubtful)
-Yes, overhead reduction is required for profitability, but take the wrong elements and revenues will drop off a cliff.
- If this does recover, it will make shareholders a substantial return, but it has to change its ways of working.
I haven't watched the video, but is there a reason the UAE has not been touted as a potential place of domicile?
