Sale agreement with 108 Media

DCD Media Plc is an AiM listed holding company which historically owned DCD Rights, a global TV distribution business together related trading entities.

In December 2021, shareholders of DCD Media Plc approved the sale of all DCD Media Plc’s existing business, assets and liabilities, which had been consolidated under NBD Holdings Limited, to 108 Media for an agreed consideration, payable over 18 months in agreed instalments.

The sale process ensured the long-term growth of DCD Rights which today remains at the forefront of international distribution.

Since the consideration was not paid in full on completion of the sale and that DCD Media Plc has an irrevocable option to re-acquire the entire issued share capital of NBD Holdings for nil consideration if 108 Media does not pay any instalment; DCD Media Plc’s purpose is to remain active and responsive until such payments have been received in full and distributed to its shareholders.

In the meantime, DCD Media Plc’s directors retain directorial control of NBD Holdings and its subsidiaries, businesses and assets until the performance of the sale agreement has been completed.

DCD Media Plc’s normal business therefore is to ensure the performance of the sale agreement entered into on December 12th 2021 with 108 Media is met in full and that its shareholders returns are distributed accordingly.

Dcd media and timewave ltd,

as all are aware, in a situation like this 1 of the to-do's in research is poss conection with the directors invoiled,

i found that both directors have a conection with dcd media, which was sold on a bit back, picking through various web sites, rooting i discovered that dcd buyers was to pay in installments, 3/4 i recall,1st was paid then they defaulted, then i found that timewave ltd which both have interest in, own 76% of dcd plc.

so, i am trying to find out, has there been some kind of ( snatch back) want of better words of dcd media plc, but i can not find the listing, by timewave ltd, the major invester and are craven and rohen looking to list timewave retail ltd, rto,

also at the same time looking for other posserbilitys whilst on this journey with , it's.

i may be pidding up wrong tree, with old information, as some time things get a bit mixed up in research with it being such a confusing web.

so if any one out there with a bit of time on hands, and more reseach knolage than i could shine a bit of light on this i would be greatfull, like i say, may be a load of boll,,ck.

I think, some are over reading the rns and payment situation,

to put in simple terms,

its has /is knocking out 1.6 mill shares, to pay for services rendered,

the nomainds will have it stiched up,

unless you pay your previous , we will not entertain you, so libithum will be setteled, and zeus may have a few k up front,i,e. in leuo.

out left will be used to drip feed the other crediters, as shown on web siteabove ( its) advisers.

but zeus will have seen some kind of business plan regarding poss rto.

What people tend to forget, this hit 5p just because we got to new directors rohan and craven, so i tend to disagree with rogers , ( rough) s/p, of cousre we need more info, regarding ,poss, rto, company, valuation, expantion growth, sector, ect,ect,ect.

but looking at rto's history over last 3 years a average company rates in 150/ 250 mill market cap,

so on the proberbilities, 9p/15p, is well acheivable,

but like roger says, 7p will do for starters,

but one thing for sure , we are in for one hell of a ride.

I get that, but on the 8th, theres a possability, the shares are not worth 25k, if you could sell them today/ tomorrow, well yes, minimum risk, of not getting your, fee,

but a week, just seems a unnesercey rick for zeus to do business, its not like they have to take this risk,

sp as it stands, 1.6 mill to hit the market on the 8th, roughly at todays s/p 26k sold,but on the 8th this could be, 15k, or 20k . ish.

with such a volitil situation, wouldnt you say , 10 mill, 15 mill, so to make sure you have your **** covered, i carnt seem to work out, why 1.6 mill figure has come from,

unless,

you are so confidente that this is near enough the lowest s/p you expect it to be, ish

and you are so confidente that what you have up your sleave, will create enough funds to sort out creditors , ect,ect,

i have been involved in this stock from 0.40-0.17, and made quite a lot of money, i think,( only my own opinion) i have worked out the psyphology of the game plan the very sly, crafty directors are playing, this is a orchestered plan takeing place and all the ducks are slowly lineing up.

ups and downs will be played in the comeing days, may-be week,

then the teaser will drop,

to bag from this s/p( 5- 10) ,

it will decline, as big profit is taken to those who have the balls to hold,
