("Ridgecrest" or the "Company")

Result of General Meeting

The Company announces that at the General Meeting of the Company held on Friday 20 September 2024, for the purpose of considering placing the Company into Members' Voluntary Liquidation ("MVL"), or solvent liquidation, all resolutions, as included in the notice of the meeting, were duly passed.

Accordingly, the Company is now in MVL and Heath Sinclair and Christine Bartlett of Richard Long & Co have been appointed as Joint Liquidators. The Joint Liquidators will shortly write to all registered shareholders to notify them of the outcome of the meeting. The Company's registered office is being changed to c/o Richard Long & Co, Castlegate House, 36 Castle Street, Hertford, Hertfordshire, SG14 1HH.

The Joint Liquidators intend to make a distribution to registered shareholders of the Company's shareholding in Acuity RM Group plc (LSE:ACRM) and there may be a residual nominal amount of cash. In the interests of minimising administrative costs, cash payments will not be made to registered shareholders whose entitlement is less than £10.

The distribution will not be made until the Joint Liquidators have completed their statutory duties to adjudicate and pay creditors' claims and are satisfied that all tax returns have been filed and all amounts, if any, owing to HM Revenue and Customs have been paid.

The precise timing of the distribution cannot yet be determined, although it is hoped a first and final distribution can take place within the next 6-12 months. During this period the Company will not trade and so will not incur any running costs outside of those necessary for the conduct of the liquidation.

Once the administration of the MVL is concluded (i.e. all creditor claims discharged, liquidation costs and expenses paid and all remaining funds distributed to registered shareholders), the Joint Liquidators will prepare a Final Account which will be sent to registered shareholders giving eight weeks' notice of the date upon which the Joint Liquidators intend to deliver the Final Account to the Registrar of Companies. It is usual to expect that the Company will be dissolved on the expiry of around three months following the filing of the Final Account with the Registrar of Companies.

Igraine Plc, the investment issuer focused on opportunities within the life sciences and breakthrough technologies is pleased to announce its unaudited interim results for the six-month period ended 30 June 2024.

Despite a challenging global economic landscape, the Company has made notable progress in its key investments and continues to explore a range of opportunities that align with its strategic objectives.

The economic environment has presented its share of challenges, but the Board remains optimistic about the future. The Company’s investments are showing encouraging signs of development, and we are particularly excited about the milestones achieved within our existing portfolio.

Fixit

One of our most promising investments, Fixit, has continued to advance towards the commercialisation of its Cingo® medical device. Since Igraine's investment in February 2023, Fixit, in collaboration with MDM Management Ltd, has successfully developed and refined the device, paving the way for cost-efficient mass production. In addition, Fixit Medical Ltd was recently successfully in securing a £270,000 grant from Innovate UK, after months of due diligence, demonstrates the innovative nature of the device along with the progressive management team. This growth capital grant is non-dilutive for existing shareholders.

Oscillate Plc, another of Igraine’s key investments, has made significant strides. Oscillate Plc announced on Friday 20 September 2024, the posting of a general meeting circular to its shareholder in order to, inter alia, approve the acquisition of Quantum Hydrogen, Inc., and has conditionally raised £500,000. Quantum Hydrogen is a Texas-based corporation with rights to explore over 60,000 acres in Minnesota. This region, with its rich mining heritage, presents exciting possibilities for the extraction of hydrogen gases, a venture the Board believes holds substantial potential.

Details of the Investment

Igraine has entered into an agreement with Fixit, by which it has subscribed for 434 new ordinary shares of £0.01 each in Fixit, at a price of £230.41 per share for a total cost to the Company of £99,997.94. The consideration will be satisfied from the Company’s existing cash resources (“Investment”).

Following the Investment, Igraine will hold 434 ordinary shares in Fixit representing 20 per cent of Fixit’s share capital. Included in the subscription, Igraine has secured rights of pre-emption on any new issues of shares by Fixit, although no further capital raises are anticipated.

The day-to-day operations of Fixit are to be co-managed with operational partner, Larvotto Group Limited (“Larvotto”), who has subscribed for 739 Fixit shares at a price of £67.65 per share, pre the Investment by Igraine. The issue price represents a discount to Igraine’s in-price due to Larvotto’s previous and ongoing unpaid strategic and operational role within Fixit, such service role to continue over the next 2 years, the timeline expected until commercialisation. Paul Johnson, director of Larvotto, had been appointed to the board of Fixit bringing over 25 years of commercial experience in the medical and life sciences sector. No associated individuals or shareholders are being paid, as the remuneration is reflected in the discounted Larvotto price paid per Fixit share.

Image-guided percutaneous drainage has become the therapeutic treatment of choice for a wide variety of abnormal fluid collections such as abscesses and ascites and is also widely used for the relief of renal and biliary obstruction. These procedures have resulted in reduced morbidity and mortality and have helped to reduce length of hospital stays and costs.

RELATED PARTY TRANSACTION

Executive Director, Steve Winfield, owns approximately 46% of Larvotto Group Limited. Larvotto Group Limited itself will have a resulting holding of approximately 34% of Fixit (post Investment), and acts as an operational partner and investor of Fixit Medical Ltd.

Simon-Grant Rennick, having exercised reasonable care, skill and diligence, considers the terms of the related party transaction to be fair and reasonable as far as shareholders of the Company are concerned.

Within this reply, my confidence was regained, and rns's where to be put out soon.

With my research, fix-it med, is very close to commercialization with its (best in class) catheters in USA,Europe and UK, Igraine own 20% of fix-it, and vela have 28% of Igraine, so knock on effect is expected,

I have both, vela and Igraine in my investment portfolio, hence my sharing of my knowledge/research, and also a few in here in same situation.

Conditional on passing of the Resolutions, Oscillate has raised £500,000 before expenses through the new issue of 50 million new Ordinary Shares at the Placing Price. The proposed use of the Placing proceeds are as described in the Circular. Each Placee will additionally receive one Placing Warrant for each Placing Share, each Placing Warrant being exercisable into one Ordinary Share at a price of £0.02 per share, for a period of 2 years from Admission.

In order to provide qualifying Oscillate shareholders ("Existing Shareholders") and other qualified investors with an opportunity to participate on the same basis as the Placing (with the same Placing Price and identical Warrant entitlement), the Company has granted Peterhouse a Broker Option over additional new Ordinary Shares. The Broker Option Shares will be issued under the Company's proposed share authorities, pursuant to the Extraordinary General Meeting.

Existing Shareholders who hold shares in the Company and are on the register of members as at the close of business on Friday 20 September 2024, will be prioritised for participation in the Broker Option (other than at the discretion of Peterhouse) and all orders from such Existing Shareholders will be accepted and processed by Peterhouse on a strictly "First Come, First Served" basis. The Broker Option has not been underwritten. Peterhouse is entitled to participate in the Broker Option as principal.

The Broker Option may be exercisable by Peterhouse on more than one occasion, at any time from today, 20 September 2024 to 4.00 p.m. UK time on 23 September 2024, at its absolute discretion, following consultation with the Company. There is no obligation on Peterhouse to exercise the Broker Option or to seek to procure subscribers for the Broker Option Shares. Peterhouse may also, subject to prior consent of the Company, allocate new Ordinary Shares after the time of any initial allocation to any person submitting a bid after that time.

Peterhouse may choose not to accept bids and/or to accept bids, either in whole or in part, on the basis of allocations determined at their discretion (after consultation with the Company) and may scale down any bids for this purpose on such basis as Peterhouse may determine. Peterhouse may also, subject to prior consent of the Company, allocate new Ordinary Shares after the time of any initial allocation to any person submitting a bid after that time.

The Broker Option Shares are not being made available to the public and none of the Broker Option Shares are being offered or sold in any jurisdiction where it would be unlawful to do so. No Prospectus will be issued in connection with the Broker Option.

The Company will announce the results of the Broker Option and the resultant shares in issue following its close.
