Hi Lenz, WA say, 'Until recently, kaolin has been a little-known product, ...' I've known about it for years. Great product. Many uses, including putting it with morphine for upset stomachs. Unfortunately now mostly withdrawn though it can be available from some chemists. It will be interesting to see what the SP ends up as.

Correct, it is a way of regulating control. I know some companies issue an annual Special Resolution for this purpose at the time of the AGM, but Special Resolutions can be put to existing shareholders at any time of the year via an Extra General Meeting, should the actual need for that Special Resolution arise (such as raising funds).

By waiving pre-emption rights, existing shareholders are not encouraged to increase their shareholding and shareholders relinquish first-refusal of purchasing further shares and increasing their percentage owned. If a company offers shares to existing shareholders and insufficient shares are raised from them, dilution takes place by offering shares to current non-shareholders. A shareholder with a large shareholding is a threat to the BOD, as any BOD likes to remain in control (with the largest percentage of shares). This is not so much about the private investors but about the existing institutional shareholders, with current sizeable shareholdings who would be able to increase their holding to perhaps an uncomfortably large percentage shareholding - (uncomfortable for the BOD).

What do people think about Resolutions 4 and 5?

Perhaps try to pin them down? Add "if so, do you have a timeframe in mind?"

Or ask about Scally? Although I would hope they will mention results without having to be prompted.

What about bombarding them with the same question? Then they might take notice.
