Hargreaves make voting easy but on your desktop/laptop, not smartphones or ipads:

Go on your HL account and on the right hand side there is a section for Secure Messages.

As we approach the upcoming Synairgen EGM on 28 March 2025, we strongly urge all shareholders to vote AGAINST both resolutions – even if we know TFG's controlling 86.7% stake will outvote us.

Why? Because this vote is about sending a powerful message and creating a public record of dissent. The higher the number of opposing votes, the more weight we carry with regulatory authorities, the press, potential legal action, and future stakeholders. Silence or abstention will only be interpreted as consent.

What Went Wrong at the January EGM?

Many shareholders are now realising just how flawed and confusing the 16 January 2025 vote was:

• The Rule 9 Waiver was complex and poorly explained, leading many to vote without realising its full implications.

• The timing over Christmas meant many didn’t receive or understand the documents in time.

• Some shareholders couldn’t vote at all due to broker/platform issues.

• Others voted based on incomplete or misleading information about the Company’s finances and options.

That vote paved the way for a disguised Takeover, approved under the cover of a 2p Placing, with TFG now in control and Synairgen set to delist – removing all transparency and accountability.

Why This Vote Still Matters

Even though TFG will outvote us, we must not make it easy for them. A strong protest vote will:

• Demonstrate clearly that minority shareholders do NOT support the delisting or the 2p placing.

• Contrast sharply with the January vote, exposing the extent of confusion, poor disclosure, and procedural failure in that process.

• Support future legal and regulatory challenges, which rely on a clear record of shareholder opposition.

It's important that shareholders vote AGAINST both resolutions at the EGM, even though TFG will outvote us. That's assuming no-one thinks the Placing at 2p and delisting was a good deal for them.

At present, the public records show that by voting FOR the convoluted and misunderstood Resolution 1 (Rule 9 Waiver) at the 16 January 2025, this has been interpreted as a vote FOR the Placing (and Delisting).

The forthcoming EGM vote is completely clear. Shareholders should make their displeasure at the Delisting a matter of pubic record.

For those remaining in for whatever reason the investor forum via SNG.MS.Group@gmail.com seems a good communication channel.

Yes that's one view to gain certainty: sell up, face your loss and move on with whatever little you can.

OR

It's not worth cashing in so may as well take the risk and trust SNG/TFG will behave honourably, achieve success at trial and not dilute us to smithereens.

I don't tarnish all Telegram groups with the same brush. If you want to stay in touch with other SNG holders your options are limited.

You will hold shares in a private company with a dominant shareholder controlling 86.6% of the company. We will be at their mercy. Public forums like this will disappear.
