Your assumptions are a little wide of the mark. Remember you can always sell your AMC shares at any time along the journey for the price at the time (stating the obvious yes, but bear with me!!). If the "current offer" for the sale of the subsidiary were to proceed AMC would receive say £100m. All things being equal, this would inflate the share price of AMC to somewhere near 7p. You could then sell your AMC shares. However and I believe this is very important with regard to the current shenanigans, the current share price has not breached 4p yet. Normally you would expect the sp on news of a bid to be much closer to the take out price, unless, there is a serious doubt about the transaction taking place and this is what is intriguing about the current state of play. As always and forever with AMC nothing is obvious and straightforward.
