If the offerer hasn't bought any shares at all in the last year, they can offer pretty much what they like above the share price.
If they have, they have to offer above the highest price they paid for even a single share, over the last year (as we are at years high this doesn't matter right now).
If the board doesn't like an offer they will RNS it and encourage voting against it. Given the boards standing with holders, if they say vote against, it will be voted down.
If the board approve the offer, as above, it is likely to be voted through.
The board have all the inside knowledge of past, current and future goings-on so will know better than anybody what 'fair value' is but to us layman it is up to you to decide. Some companies go for a 5% premium, some go for over 100%
Cathal's previous company, Amryt Pharma, sold in Jan2023 at a 107% premium to the previous days close, as per:

There is nothing to say HVIVO is about to be bought, beyond the current share price action, and theres a good argument against selling at this point just as we are maturing and expanding, but lets see what happens.
