I would never normally disclose a voting position, but I intend voting NO to this terrible "offer"
A deal which to my mind benefits only the buyer, the BoD and in particular the CEO. The proposed cash bonus for abject failure simply adds insult to the injury in my opinion.
The assets & trade being offered for sale that were quietly moved & packed up for sale from Fortis to Concepta back in August, without any formal announcement of a sale process is completely grotesque in my opinion.
The notion that I should support an action which means the company will have to bear all the costs of a rename, plus the time & expense to find a potential (as yet unspecified) target, as the Directors draw salaries looking for a deal that may never materialise is laughable to me.
At this stage the only deal that I would likely support would involve the replacement of the board, the sale of the entire company on a cash basis, or the voluntary winding up of the company with immediate resignation of the CEO. There is obviously no appetite from the BoD to continue this as a going concern & they have presented zero viable alternatives.
This has (quite remarkably IMO ) been set as an ordinary resolution, so a simple majority of the vote is all that is required as far as I am aware. (i.e – over 50% of the votes cast )
I cannot advise anybody how to vote – but please make sure you DO vote. At the last AGM only 10 million votes were cast from a total of over 50 million – so only around 20% of shareholders voted, please make your vote count.
I sincerely hope that our TR-1 holders are like minded in voting NO, but I am open to hearing from anybody ( including the company) that thinks this is a remotely good deal for MHC. This may be Hobsons choice & there is of course the possibilty that one major customer & "partner" is able to exert considerable leverage to ensure that if this deal fails, then so will the company
