@Chrysalis1 if you had been following we had been dealing with WRI since February 2020, long before COVID19 became an issue. Their objective is to detect contamination in their water and rivers. In fact, COVID19 is an after thought consideration and long after COVID19 is a thing, the monitoring of waters, rivers and waste will be addressed by the parties and elements in the project.
The use of monitoring products to include, but not exclusively ecowaterOS partner’s Hydrolight™, RAWTest™, Microtox®, OVA®, PDV®, RaPID Assay®, EnviroGard®, EnSys®, QuickChek®, AlgaeChek®, BODChek®, PetroChek®; and Microtox® PD and Microtox® BT Novel Sensors for the identification of pathogenic viruses to include but not limited to SARS-CoV-2
I trust that clears that issue up.
@dasbig, yes it was a surprise that the support was so high on the first closing and as you said this moves us ahead a few weeks, which is great. However, retail shareholders should know that this is not an automatic process, no matter what someone says on a bulletin board :-) surprise surprise. Failure to swap existing shares in MWG for DVRG is no guarantee that
you will mean owning a share in a non-listed private illiquid subsidiary company of #DVRG. So with corporate actions back up on broker websites quickly (Barclays are up already this morning) this should be just a formality.
Just send an email to info@deepverge.com and we will have someone assist if you are having problems arranging this.
@Stoater very pleased to hear that Barclays were so quick to get their action back up so quickly and that you have been able to get sorted so quickly. Retail shareholders should know that this is not automatic, no matter what someone says on a bulletin board :-) surprise surprise. Failure to swap your existing shares in MWG for DVRG will mean owning a share in a non-listed private illiquid subsidiary company of #DVRG.
@Newuncle, I think you know I can't answer that question in a BB, but we are well advanced in Phase 2 and we will be reporting to the market shortly on where we are in Phase 3 timeline, now that we have the transaction over the line we are more free to interact with shareholders and will likely have a webinar this month where we can discuss it more openly
@DG12 the exchange of DeepVerge shares for MWG shares will create a subsidiary of MWG inside DeepVerge who will own the shares of MWG, as a private company, just like any other subsidiary. The benefit is the enlarged shareholders of DVRG and the assets and subdivisions of MWG will carry on to operate as they are, under the new management and new business model of DVRG. All the tax losses of MWG will be for the benefit of the enlarged Company also.
@Stoater of course you will be able to reverse your option. The 2 week extension will provide another Corporate Action option at your broker over the next 24 hours (hopefully) ad that will give you the opportunity to complete. We are not here to make it harder, but as easy as possible and if you have any problems please send an email to info@deepverge.com for the attention of the Investor Relations and we will get someone to assist.
@Paulcon62 I know you are a supporter and appreciate positive and negative comments, from anyone, with good rational arguments. My view, as a shareholder and who got paid for my entire services to Modern Water turnaround and early payment in shares for Integumen (before it became DeepVerge) is that M&A that adds shareholder value takes time to process and patience (which I don't always have myself), ultimately generating long term wealth.
Daily, weekly volatility, while we build that wealth may generate income for traders, but in the long term great wealth comes from great business models that work, even if they take a little time to be seen. The key is to spot the trend early and stick with it.
@Chesh we expected to be less than 75% on first round but it was exceeded as we can now initiate removal of MWG from AIM faster, once we admit swapped shares to AIM. We have left the offer open for 2 weeks to allow anyone else who doesn't want to ow shares of a private company, with no liquidity to swap.
https://www.londonstockexchange.com/news-article/DVRG/offer-unconditional-as-to-acceptances-extended/14742663
Offer declared unconditional, so any shares swapped will be admotted to AIM on Monday the 9th and we will allow two weeks for anyone else to swap their MWG shares for DVRG. After 9th we will apply to remove MWG from AIM as a private company.

@deezel yes anyone who has bought shares can accept the offer by instructing your broker or taking action on the brokers instruction which may be to go to their website and look for "corporate actions".
Just a reminder to anyone who has not accepted the offer, with first closing date tomorrow. DeepVerge cannot automatically swap your MWG shares unless you take steps to accept the offer.
@matty all investing is risk based. However, our objective was and is to install AI based near-source identification of dangerous pathogens in water for a global population in equipment that is already established in over 60 countries. The fact COVID is here is positive and accelerates the process, but SARS-CoV-2 is only 1 of 172 viruses in wastewater and is only 1 of 2,700 bacteria, virus and toxins to be identified in water in a world where 4.2 billon people have contaminated and unsanatised toilet facilities. So COVID or not, I think we are safe from a recurring revenue from monitoring perspective
@Paulcon2 short answer yes.
longer answer is that as well as the results of tests working with AI on water contamination from Modern Water equipment and their 30+ years of development, there are pieces of equipment that had been overlooked such as the UV Digester ( launched in 2014 https://modernwater.com/assets/downloads/press/2014/press_release_modern_water_uvi_FINAL.pdf) which is being incorporated into the breath test and near-source wastewater detection system that automatically decontaminates any pathogen (bacteria/virus/toxins) leaving no hazardous materials to be disposed of and allows for sustainable recycling of all test materials.
Next the Volatile Organic Compound (VOC) testing that exists already in the MicroTrace OVA7100 units installed around the world that can detect gases (another area for breath test)
The 2,700 known contaminants that existing in the environment are serious hazards to health care of most of the global population and the ability to use AI as an identification tool enhances everything that existed in Modern Water monitoring, just not fully exploited for the benefit of health and medical care
@blueballsnall All the components are existing. All the technology is existing and all of the partners know what is expected of them once we reach Phase 3 testing. We're getting it right because we are not inventing anything new, even if it takes us a little time to have it all ready to roll out as a working solution and not something that is just reported as an academic advance on the front page of a tabloid. The Governments are panicking and fast tracking antigen tests. All great, but they eventually have to permanent real-time tests that open the economy. That is our goal
I agree with trills :-)
@Burt2000 we already commented on where we are and what we are doing in the last RNS of the 23rd of October https://www.lse.co.uk/rns/DVRG/comment-on-detection-of-covid-19-in-uk-sewage-tdaa1yen0o2601j.html
@fevertreeman, you are referring to the inherited position that management found themselves in when they took over in 2018 and had to dispose of the positions while turning the company around. Those situations, as you have read in the Offer Document, were concluded in May 2019, now almost 18 months ago.
@Chesh, I read that we don't get coverage. Front Page Irish Examiner and just wanted to get it out when I first got it. Reads better the right way up :)
@Chesh, I suspect the bottom line would be less affected, as society would ensure that everyone gets tested much cheaper if part of a group using a single test. We could easily add in extra mouth pieces to remove the risk of transmission from one person being contaminating the mouth piece.
Society benefits immensely as the cost of a POD (group) test is reduced and so more people may well test daily and lead to more and more identification and isolation early. It would be very easy, and quick, to test everyone of the POD if the test of the comes back positive.
