[SXX] Announces the signing of an additional binding take or pay offtake agreement ("the Agreement") for polyhalite from the York Potash Project. The Agreement is with a well-established market leading Central American based fertilizer distributor that also has operations in Colombia (the "Customer"). The Agreement is structured to align with York Potash's proposed production ramp-up schedule. It is based on the supply of 150,000 tonnes per annum ("tpa") in the first year of the Agreement, rising on an annual stepped basis to 250,000 tpa in the fifth year of production. The Agreement is for five years from first commercial production and can be extended by mutual agreement for a further five years. In addition the Customer has also been given the option to increase the minimum amount of this contract by an additional 250,000 tpa. The price to be paid pursuant to the Agreement is based on a formula linked to the market price of nutrients contained in polyhalite and is in line with previous market guidance. This agreement will allow the Customer to distribute polyhalite through its various networks of local and regional companies to allow for servicing a greater range of farmers. The key regions for distribution include Guatemala, Belize, El Salvador, Nicaragua, Honduras, Costa Rica, Panama and Colombia. A restaurant or theatre review is a classic example of a publication which may be protected by honest comment, although this defence may apply in a variety of different situations. To succeed in the defence of honest comment the defendant must show that the comment: is on a matter of public interest; is recognisable as comment, as distinct from an allegation of fact; is based on facts which are true (or protected by the defence of privilege); is on a matter which has been expressly or implicitly put before the public for judgment, or is otherwise on a matter with which the public has a legitimate concern; and must explicitly or implicitly indicate, at least in general terms, the facts on which it is based (i.e. what it is that has led the commentator to make the comment). Previously, the facts had to be identified sufficiently so as to enable the reader to judge for himself how far the comment was well founded, but following Joseph v Spiller this is no longer the case. If the claimant can show that the comment was actuated by malice (meaning that the defendant was not expressing his genuine opinion) the defence of honest comment will be defeated. The City regulator has told companies sitting on price-sensitive inside information, like a planned takeover or share issue, that they should quickly respond to media reports even if the stories are not completely accurate. Those companies failing to act and subsequently have trading in their shares suspended by the regulator could face investigation to establish whether they were "sufficiently open and co-operative". "We are increasing our monitoring of holding statements and may challenge holding statements that do not sufficiently reflect the leak," the UK Listing Authority, which is part of the FSA, said in its latest technical paper. "Should a leak occur and a full announcement not be possible, any holding announcement should be meaningful and, at minimum, reflect the extent which a leak or rumour is truthful," it added. Companies are required to inform investors "as soon as possible" of all inside information in their possession by notifying an approved stock market news service.The authority said: "Issuers and their advisers should, when delaying disclosure of inside information, continue to monitor various media for signs of possible leaks and/or related price movements." It said that when a company and its advisers knew that press speculation or market rumour was false it was "not likely to amount to inside information". But where speculation was "largely accurate" it was likely that the company had to disclose the information. "We recognise that judgment and discretion is required and each case will be treated on its merits. Nonetheless, inaccuracies of some aspects of a story may not in themselves be justification for non-disclosure." It gave the example of media reports of a potential capital fund-raising that did not correctly state the size or pricing of the new shares. "[These inaccuracies] may not of themselves negate the obligation to announce the existence of a (planned) capital raising," it said. Lloyds Banking Group's £13.5bn rights issue last year was among the most prominent corporate activity to attract weeks of market rumour. The bank devised the share issue in secret in July to avoid using the Government's Asset Protection Scheme. [UKOG] Has today signed a binding heads of agreement ("HOA") to subscribe £750,000 in cash for a further 12.5% equity interest in Horse Hill Development Ltd ("HHDL"), a special purpose company that has the rights to a 65% participating interest and operatorship in the UK onshore Horse Hill Field in the Weald Basin near Gatwick Airport, taking UKOG's interest from 7.5% to 20% (the "New HHDL Subscription"). UKOG now has binding agreements in place to own a direct 20% interest in HHDL and an additional interest by virtue of its 6% ownership in Angus Energy Limited ("Angus Energy"). Angus Energy owns 40% of HHDL.
