Their relationship is purely a business one of supply and sale of Computer mags. However should the sales of the mags bring in good profit streams for GG then the share price of GG should rise in sympathy.

HHO. The FSA rules make it an OFFENCE to deal in a UK PLC's shares on PRICE SENSITIVE INFORMATION. That is information which is not generally available to the market. So if ANYONE buys/sells shares on information that they have acces to which would, if released, would move a share price significantly, they can be prosecuted, the censures are public humiliation and banishment from the "square mile" or worse, every stockbroker will not trade for that person ever again.

HHO. good point yogibear. there has always been an issue with the timing of announcements, as to who gets them first. Officialy the RNS should, in theory but not necesaarily in practice, let everyone know at the same time pertinent news releases. But officialy I, as a small investor, and others are the last to know, but that does not stop me from reading the "buy" signals that are out there, as I have explained via hundreds of previous footprints here and elsewhere. I just feel the MARKET.

If and only If Mr Km and I stress If Mr KM Bought the 8.7M or anyone else for that matter if their holding is 3% or more shares they would have to notify the Board by 12pm the next business ( a business day is any day other than a weekend or bank holiday or when the Stock Exchange is closed) day. This would have to be published by the close of business the next working day.

HHO. Hi Giggabytes. 8.5M represents 2.68% of the ISC. I can see two scenarios. 1stly This represents 2.68% of ISC. If I assume say this is a brand new investor. Then there is no obligation to report this holding to the Board, but if 2ndly This is a top up, it will have to reported to the Board by the latest 12pm Monday ( The timing of this trade is absolutely crucial, because, was it made during Fridays trade or will the LSE treat it as a Monday trade?) if the LSE treat it as a Monday trade then the Board need not be notified until 12pm Tuesday, see how confusing the rules are. Whichever deadline is met, the Board must publish the notification at the latest, BY THE CLOSE OF BUSINESS THE NEXT BUSINESS DAY. As regards the news of the sale of titles and debt, this in my book is a red herring old news spoiler story, the shares will almost certainly be up Monday morning, I hope so I have a BUY order placed with my broker Saturday pending.

Bllm. Hi stephen. The Companies Act 1985 s303 is your starting point. A company by ordinary resolution ("OR") remove a director before the expiration of his period of office.......by special notice (s303 (2)). In order to proceed with an OR, it must be proposed by Members holding at least 10% of the voting right. s304 Director's have the right to protest removal. The procedure for removal and notice periods is all contained in Part 1X of Companies Act 1985. It is only a suggestion of mine that you contact Computershare Investor Services PLC for a copy of the Members share register and then covertly sound them out as to yours and others concerns and ambitions. If Removal is the course of action ahead of an AGM, then it is important that alternatives are ready to take over. Good Luck, you have my support.

HHO. Hello lulu. The very first book I ever read on the subject was " HOW TO MAKE A KILLING FROM PENNY SHARES" by Michael Walters. I bought from the Chartsearch Limited/Daily Mail publications. I do not know if it still in print, my copy was a 1987 publication. Other than that read the "heavy" tabloids. Other than that follow the postings on this website and the London Stock Exchange pages, they hav a section dedicated to all AIM stocks which mostly tend to be junior/young penny stock companies. HHO. Hi debbie. Share buys/sells are carried out for a multitude of reasons, as you know. We may never find out who owns 2.99% of any Company's ISC. There is what is called dealings by 2individuals" as "acting in concert". These are dealings made by individuals who will want to support Mr KM in his quest, even so all these have to be declared as if they were made by Mr KM. There are other individual buys made in order to thwart any would be stakebuilder, they may be made by Directors, they have their own set of Rules/Legislation ( please do not ask me to dwell on this, I could go on forever, the rules etc are quite complicated) suffice to say they too would have to show their hand in a timely fashion. Yes it would seem we are all being "wound up" at times, but that is a fact of life with Company Law and Corporate Finance. The truth is out there, like poker, it is sometimes bluff, counter bluff double bluff etc etc etc. Hands will be shown sooner or later, one way or another. Just follow the plot to its exhaustion.

HHO. I will clarify. No one has yet even approched the issue that a BID approach will be forthcoming. To buy up in dribs and drabs in the same day presents no problem, but at the close of that day's trading session the whole total has to be declared. Mr KM may not need 29.99%, he may, and I will use my words carefully, already know he can rely on a further 20%+, for example, by way of verbal assurances from other "significant" individual Holdings, who have already tentatively offered him their support for his future plans. NOT ALL SIGNIFICANT HOLDINGS, no matter what the Company, WILL LEAD TO AN OFFER/BID.

HHO. Yes your interpretation is spot on. Any increase or cecrease from an already notified interest no matter how big or small but be reported. Ideally yes a 29.99% is the strongest position in which to launch an offer for the remaining unheld shares. But only if the stakebuilder is to launch a BID the holding may be purely a strategic holding to force a position on the Board. No one has yet said that a BID will be forthcoming. Mr KM's holding is purely that a "significant" ( I am using the Citty Code jargon, not mine).
