probably is mark, but i honestly wouldn’t mind if it was. good to defend himself and provide investors with confidence. everyone focus on beacon energy but i was aware from very recent research the success at tenzar.

i am definitely now of the view my vote was wrong but have the following questions/reservations.

- micheal lynch and others involved were there whilst shishir was in charge. why aren’t they suspended? did they raise the white flag to new board or what?

- options for new board. let’s be clear i am supportive of what looks like strong board but i am concerned that all of them will be given easy options. wait and see.

- concerned over the brother and newphew. they own a competitor from what i understand. har**** said during requisition process that he would be willing to integrate prangraf/tsg. was this just words or is he serious? also the concern over third party transactions previously why do we have a head of sales that runs different company?

- the whole takeover process seems strange. mark has gmail account so must of been a forced takeover. how did that happen and will we ever find out?

- why was the account suspended?

if i am being honest i would like to know all of the above, but as long as company moves forward and starting making progress. i am not bothered about looking backwards and wish the board best of success as long as they protect private investors.

Lifestyle company Paul. They will pass it onto a new CEO soon and he will then milk the company for another two years......See it for past 5-6 years.

People rewarded based on performance

I suspect not as this would seem to have been enacted prior to recent board restructuring from reading RNS.

- “Board Meeting held on 9 December 2024, the sitting Board directors as at that date approved the issue of ordinary shares in lieu of remuneration”

At that point there was only three board members. Shishir, Pruvvi, and MLB.

Whether we agree with the excessive Salarys. This was a debt of the company following Shishir and MLB not being paid for their services for 12+ months.

What it does suggest is that we will see a return to trading as why would they accept shares if they didn’t see a return…unsure why 5p; why not just accept current share price….

i think we just need to see how this one plays out. both have decent points but i think it’s unfair to say x person is better than y person. y person may have been given different opportunities and i think it’s fair to say alistair, purrvi and har**** have all done well for themselves given there age.

the point saluc raises is a good point through; i didn’t vote for the requestion group. nor do 50% of tgr shareholders therefore i need to be convinced or understand why mark, cd, murat etc are now running the company when we didn’t vote for them. i think that’s a reasonable request from shareholders.

if it’s for the best of the company they will have my full support but i want to understand what has changed in the last 4 weeks. not expecting this explanation immediate as they may have more pressing matters i.e funding.

but we didn’t vote for this so we have the right to know, similar situation is just nigel farage deciding he didn’t win the vote but taking over as pm from kier starmer. we would want an explanation to why at some point?

(by the way i have said similar to saluc that i think he is part of tgr or connected some way).

Nobody actually knows if Shishir is remaining or not as it’s certainly not clear from recent RNS. There is indication he is stepping back from CEO position but doesn’t say if he will remain on not. Let’s be honest he owns most of the company so he will have to remain in some part. Potential reasons but I am guessing;

- this may have been a requirement of the CLNs that Mark et al had to join if CLNs were being extended.

- ⁠maybe Shishir decided in order to take negative feeling out of TGR he needed to bring everyone together both current and requisition. Taking Bold decision to get everyone on board as maybe major investment news is coming.

- ⁠or maybe the auditors just refused to sign off accounts due to discrepancies and Shishir had no choice or potential funders wanted more governance in place before investing.

Certainly be good to get a honest assessment from New BOD on rationale for the board restructuring as we are all guessing

suggests shishir has decided the best for the company is for him to step down as result of not being present in madagascar.new co-ceo can be present with his location being close to madagascar or he’s had no choice but to move on as a result of audit process.

other notable items:

1. har**** was very vocal during requisition process on behalf of him and his dad in relation to re-opening the tsg conversation. was this just words for the vote or will this happen…… if tsg transition happens given shishir and hermet own it could be major major major news.

2) unsure on what this means for shishir and purrvi. no mention if they will remain in current roles but intresting that shishir (hermet) brother part of audit committee. hermet owns large stake in tgr but also owns another graphite company to my understanding so how will this play out. also not mention of micheal since last announcement would be good to see a management presentation on how the board will govern and operate to put the questions to bed.

3) management team looks very credible and what you would expect from fste company with audit and checks in place. slight concern would be the size of the management team given size of tgr current income. hopefully they have built this for future investment.

4) what are the options and packages of new team. lets be clear this is a huge overhead cost therefore be interesting to understand there incentives and options are awarded. hopefully challenging but achievable options. ( this may of been the only option, so certainly not a criticism but this was my main concern during the requisition process that it was a land/company grab and still need convincing that this is not the case….)

5) shishir owns most of the company. if he’s not involved, what does that mean for his shares and holding?

main positive is that the developments suggests company is trying to come back alive. this could be a major turnaround and have huge re-rate back to 50p plus with right funding. i am sceptical still as i need to be convinced private investors/shareholders and us on this board will be looked after and not just the management team.. i am here to be convinced but will wait and see before making judgement.

My take Chris is I wanted both existing and requisition group to work together as requisition group had no experience of graphite but raised some good points.

It must of taken some challenging and honest conversations to get them all back working together, no doubt for benefit of TGR.

I can’t see them releasing accounts until they announce funding. I honestly still think this is not guaranteed and still long way to go but they definitely have a strong board with some recent great additions including Andrew N….

Is TGR about to turn a major corner at the same time graphite market shifts… potentially..

One to watch

In my view it is what we all wanted from the start but we have wasted 6-9 months getting here which is disappointing. E.g The requisition group working with existing board including Micheal Lynch.

Mark and requisition group raise valid points during the requisition process. E.g

- third party transactions review

-board governance/meeting

- in house finance

- outsourcing

- keeping market informed

On a personal note I just think they could have handled the requisition approach differently without the need for fake twitter handles etc but suspect Mark and others point is it was a necessity to raise awareness. Maybe it was needed and I prefer not to look back now just forward looking.

What I find Interesting is during the requisition process there was some major accusations put forward by both sides. Hopefully they can all put this aside for the benefit of TGR as most of them are invested including Mark who is going to want to make this a success.

The board with the additional of CFO has all the credibility, experience and challenge to make TGR a success. The board is certainly attractive to investors as they all have great credentials.

Best of luck. All have my support to make this work and hopefully put TGR where we know it can be a major player in graphite sector.

Not sure stopping production would take too long…..(hasn’t started much).

But as I said before it didn’t hit landfall in Madagascar so no concerns there.

Really sad with the loss of life but the Cyclone passed TGRs current sites Madgasgar and went through to Moz.

It’s just so binary, I want and can see success but very sceptical. If we get funding I have some spare change ready to invest as I see current SP one of the best opportunities available….

Hope you get back in and we can share success together but let’s see how next few weeks play out.

With TGR Chris you can never be sure, I think we just need to wait it out and see how it plays out. I expect major reason CD has been appointed back to BOD as he will hold the relationships with all the CLN holders so who know.

Yes certainly is room for optimism with new appointments, but I don’t see James taking over but adding to the board with diversity of thought.

It’s tough one with Shishir as nobody including me knows what goes on behind the scenes. Every entrepreneur is stubborn, single minded and driven. You could argue this has helped him get TGR so far. To build a company with “potential” to produce 36kpta and ambition to be major graphite player deserves credit. Shishir certainly gets hell of a lot of criticism and rightly so as all CEOs do. It comes with the job. But his knowledge of graphite and how far he has taken the company deserves hell of a lot of credit.

My view is all appointments will add value including not so long appointment of ML. The consist of the board will offer challenge to each other, debate, diversity of views. All of which can only benefit TGR in long run (if we can survive).

Now or never unfortunately but you see this with companies they need a period of major turmoil to look in mirror and accept you need support.

Key priorities for me:

- Funding

- Agreement to CLN

-CFO

- Expand Mad to 60k+

- Start Moz assets development (2026).

- Explore downstream ( I have not forgotten about TSG debacle)

Could be exceptional year ( if we survive).

Not really fussed about de-ramping etc as one way or another. Before this share is un-suspended we have got to know the outcome of CLNs, placing or not and debt finance as the accounts can’t be released.

Option for CLNs will be:

- placing to raise

- agreement with CLNs to extend with reducing the call in price( can’t recall what they are now)

- unlikely MEF deal funds payment of CLNs. Seems very unlikely and be great for TGR. If they do they would have to be desperate for graphite and maybe have some form of terms that allow them to be first to re-coup costs if products not delivered. ( e.g maybe own assets or licences)

Who knows but we’re in for a ride over next 4-8 weeks. If ( when) TGR pull this off, i have a feeling this is going to be life changing for us all who are in at this point (noting most be down). But we have the potential for 36k graphite company that has huge potential to expand at a time when we’re all seeing signs of a major recovery.

It is the most binary stock I hold. Huge re-rate to high we have seen before or into the bin and major lesson learnt.

Hopefully I am proved wrong but just can’t see deal being concluded prior to 31st; I am comfortable with that if we can an extension and gives us time to get the deal right. Still concerned we won’t get anything and discount placing is coming with big options for new NEDs as lets me honest we have no clarity on how the likes of Micheal and others are being paid e.g shares or salary?

We just need to survive and re-group with limited possible damage. If we do get debt financing deal in place I can see this popping given the graphite market demand at moment and other major plays like Syrah and walkabout resources struggling

I honestly have similar concerns, will we ever re-list. Very binary play.

The board appointments have given me hope as on reflection we have never had stronger board. The concerns I have is why….

Glass half full- requirement to obtain greater level of funding and MEF deal is close. But who knows on this, we are all hoping it’s progressing and trial period is concluded but seems unlikely being concluded before EOY.

- glass half empty- it was white flag and we are about to see a horrible 40% discount placing to keep company afloat. Although possible both Shishir and CD are shareholders so I can’t see them wanting this after holding off for so long, but it may be only requirement.

I can only see accounts being delayed again till end of Jan 25 as just can’t see funding and re-listing by end of year all too compressed

Maybe that CLN holders refused to negotiate on deferred interest until they seen a more balanced board. Could have been major power play from the CLN holders….
