financial results

alien metals limited reported a loss for the twelve months ended 31 december 2024 of $1.56 million (31 december 2023:

loss of $3.7 million). the 2024 results include approximately $0.3 million in consulting costs and legal fees in the preparation

of agreements for a joint venture of han**** which did not proceed.

£240k or so prepping for a han**** jv in 2024. shame we couldn't get it over the line. maybe it shows, we weren't happy to role over and have our bellies tickled. we'll have hopefully learned alot from that experience that will help get the next one over the line.

AWP. They replaced the old facility July23 with a new one Mar24. The Mar24 facility was then extended as disclosed in the May placing rns. Extract below:

Extension of Funding Facility

The Company is pleased to announce that the funding facility secured with Bennelong

Resource Capital Pty Limited (“Bennelong”), a shareholder in the Company with a current

holding of 6.1%, and announced on 15 March 2024 (the “Facility”), has been extended with

the availability period for drawdown now being to 31 December 2025 with an undrawn amount

of AUD 400,000 still available, should the Company require it prior to its expiry. Although there

are no current plans to draw further on the Facility, the Company and Bennelong have agreed

that it will add flexibility as the Company progresses its strategy.

Belindas number 1 priority this year is making sure that Bennelong do not convert that loan. Simple as that.

AWP, unfortunately not. We have a £1m funding facility with Bennelong which we are £0.8m into.

jv, offtake partner or spin out of han**** also due anytime. han**** has been held up years primarily because money talks and alien have never really had enough of it. expect another 30/70 deal given there are still several hurdles to jump. i am hopeful guy and rob were moved on to release the bottleneck and thinking belinda has been brought in to get the funding over the line.

the tap opens once the jv is sorted and that could come anytime given its been ongoing several years already.

The rns Friday was inevitable. The warrants were issued back in May. The warrants being exercised is a result of the success of the company and the sp over the last couple of months.

I don't understand why people are disappointed in the Friday rns as if it aliens fault. The time for disappointment was back in May when the warrants were issued. The only way the warrants wouldn't be exercised is if the sp was still down at 0.08p. Would you rather that be the case?

When any element of the loan converts, Alien would have to release an rns as this would change the capital structure of the business.

As far as I can see. No loan conversion has happened yet and its all sat on the balance sheet under non current liabilities

The placing price being 0.08p

yesterday weren't placing shares, they were warrants relating to the broker warrants i mentioned in a earlier thread.

yes. the loan can be converted currently for 1bn shares at 0.08p unless alien pay it off before expiry, which is dec 2025. we need to find £0.8m before then. options are:

1. jv on han**** with upfront cash to cover the loan.

2. sell down wce shares closer to december and repay loan

3. loan conversion extension

4. placing at a higher level than 0.08p with warrants at a much higher rate.

we can't let the loan convert because 1bn shares at 0.08p is a disaster especially given what we now know and where we are certainly heading.

my preference of capital raise is in the same order as above. let's hope the new bod have our best interests at heart and not just their own and our primary shareholder.

once this noise of dilution has gone. we'll start seeing the bod pump their own money in.

A bit of research for some.

By my calculations, we owe £800k or so on the convertible loan. These can be converted at 0.08p so 1b shares. Attached to these are warrants which would also be 1b.

Come the end of 2025 when the loan expires we could have further dilution of 2bn shares.

If true, I now understand what is stopping investors jumping into this share.

Got to dash now but happy for anyone who has done their research to correct me.

May 28. Only 30m left as they exercised 181m yesterday.

By my calcs, there are a little over 400m warrants left to exercise. Worth a little over £600k cash to use.

I did wonder where those 0.08p warrants came from. Below is from the small print of the May placing.

TAD, yep agreed. They certainly expect the sp to go way further north then.

not sure on the monthly cash burn but given we are free carry on eh i suspect outside of drilling campaigns our cash burn will be modest, say £100k.

we received £1m from the placing, £0.5m from the eh deal and £0.4m from the warrants. that's £1.9m in the last 4 months. take off fees, let's say £1.7m. that's 17 months working capital.

still have several hundred £'000s of warrants to cash in. placing only required if they want to drill han**** solo. if they do drill han**** solo then we'll get a better deal for a jv further down the line, so ot all bad at all.

Not at all the same. The warrants have been known to the market for many months with a large chunk of those coming from the May placing. Therefore, shareholders should not be surprised when these are exercised. The dilution was always going to happen and already priced in. A placing would be additional and not priced in and would probably have further warrants attached to them. A placing would most likely be at a discount and result in an almost immediate drop in the sp to below the placing price. Warrants don't have this effect as the market already knows about them.

Placing would most likely be for 1b shares not 300m. Therefore much larger dilution.

A placing is a decision of the board. Warrants are a decision of the holder, not the board.

Someone's comments were, what is the point in doing a placing for £88k. They just clearly haven't got a clue.

Some very worrying comments from some on here. You're putting money into the market and you should really understand the difference between warrant exercise and placing.

I called the warrant exercise about a week ago so happy that the confirmation has come out. Those warrants assuming they've been forward sold will have accounted for a sizeable chunk of the last weeks trading volume.

£0.5m in the bank and 15m wce shares available to sell. Only way a placing happens here is if the new blood want in cheap which to be frank, just shouldn't be allowed as it clearly wouldn't be in the best interest of the shareholders.

On the daily? Think so. Next test of resistance smashes through. We'll see

Volume has disappeared for now. Most likely just mms trading between themselves. It will move soon. Probably end of next week. Results can drop any time in 5-15 trading days. Buying pressure will start to build soon.

This could just be mms testing the water but if it works it could trigger a tsunami of 20% traders and back up to resistance at 0.28. Volume is the key. Let's see
