Special666 - as Miss G says, you are missing the point. To me you are missing several points but let me clarify your last point.

Margins are currently around 13.7% and will be of no benefit to the accounts for six months. Based on the last contract which will generate revenue of approximately £1.2m will generate gross margin being optimistic of 15% will create gross profit of £180k.

Doesn’t make too much difference into last year’s loss of £1.4m - now Topple need another 7 of these to breakeven assuming no increase in admin costs but it will not breakeven to September 2019. They need all these additional contracts which will all take at least 6 months to benefit the accounts.

So they need to get 7 contracts like this before March 2019 to get close to breakeven for the year ending September 2020.

The money raised will be gone in 12 months and could possibly be less depending on their marketing spend. So yet another raise this time next year when breakeven probably will not happen until the year ending Sept 2020. Personally I do not think they have a chance to breakeven in that time but that is just my gut feeling knowing the history of this project created by DB many years ago for which he has tried to be a success several times and failed.

Still, I am looking forward to the next dilution next year where they will need to at least double the volume of shares in issue and change their nominal value to raise the funds. I agree with Miss G, a consolidation will be coming in due course.

You seem happy to see this develop over the next 36 months but why? The last 2 years the ceo has lost 95% of shareholders money.

The market share in this huge market is not worth looking at. They currently have revenue of £2m and you expect a competitor will be interested? I cannot see that but good luck with your investment here.

Miss G and others have warned about this for 2 years since the IPO and proven 100% correct. If you have read the prospectus in full and read the warnings from others, then I feel you are a little blinkered.

Billthebank - as a Director of a broadband business I think you should know better. The figures are all there and very surprised with your comments.

Miss G may remember the full name in Coms who had his own telecoms business and was a major shareholder and I think his name was Silverbuck. He did not lose but reading his few posts I think he sold at least half at double his buy in price. He was also in line with objecting against the BODs when DB was in charge as per the discussions on the BB at the time.

As per what Miss G has said, if you have read every word of the prospectus then hope it works out for you. But I suspect not just like 95% have not but those like Miss G and myself who are not invested, HAVE.

With regard to your comment about the placing being oversubscribed, it would not have been at 0.5p but would have been even more oversubscribed at 0.1p. This is valued by the investors that will flip this. 0.5p not ok as no profit but at 0.3p, they can flip it for 30-50%. A little naive that comment that I have responded to.

May be you click on my name or Miss G name and read our previous responses over the last 6 months on Topple. My view we are right and not wrong.

With regard to your points

1 the debt is £544k to DB

2 £2.4m in cash is incorrect. Firstly the raise only was £1.97m plus £81k I think so £2.08m but I am sure the payables are quite high with the receivables very low. My view is the overall cash position is around £1.85m and take out the payment owed to DB gives round £1,4m

3 Merlin is worth around £100k but there is a risk to utilising it as per the prospectus

4 The recent contract is around £1,2m per year and not £3.5m as stated without any timescale generating £200k gross profit to try and reduce the £1.4m admin costs so still creating a £1m loss this current year.

5 Look at the prospectus. The figures have not increased profitability at all. Increased the revenue but not the profit. If you believe the bul15hit provided by the ceo and ignore the finals and interims shows he is bluffing as per his reports over the last 2 years

6 Being on AIM is irrelevant - spoke about it today and identified that having to issue a prospectus has proven that they are govern to provide an accurate account. Being on Aim May have been a preference with this issue

7 Do you think that they would have raised it at 0.3p if they did not say the would be cashflow positive with these funds? A naive statement in my view. As you are in the competitive industry and the so called position you hold, I feel you are telling a few porkies or completely naive or linked to Topple.

8 what’s the CFO got to do with it. The CEO has no experience in leading a company although he has had good positions within a company. I just have to think about Sir Fred Goodwin at RBS

Yes I remember Silver420 - I was in a similar boat and went all in. Unfortunately as per a discussion with DB, he sold his car to put into Coms but I attended the AGM and sold to protect my capital when I realised DB was lying on many issues. A bit useless investing without the capital so I too’ the sensible decision. But silver’s position was my fault apparently but the way I see it, my investments are my decisions and my decisions only. Slean came battering me about silver a few years later. A new poster so renamed though so unsure who it is. But hopefully a massive lesson learnt for him.

If I ever meet you, I will tell you a story of my own when I could have retired at the age of 32 but took a silly decision and lost the lot, a large six figure sum. So some of us have already been through the mill.

Oh Miss G - I am getting too embarrassed 😞

You remember back in 2014 the fun I encountered on Coms - it was hard to try and give information that many investors cannot see due the blinkers they wear. If you remember I sold the day after attending the AGM and my views were basically confirmed in the next interims a few months later and the CEO DB was sacked another 6 months later for trying to perform exactly what Topple are trying to perform now. Oh, sorry. DB has just left the building AGAIN!!

Funny enough, I did it again on another company when the ceo misled investors about warrants and non dilutive funding and I sold. But dragged in to put things right that investors again were blinkered about. They still are and all investors a year later seem all so disgruntled as they fell in love with a share. Done it myself but you have to learn which we seem to have both improved.

As you are not on twitter I get great Direct Messages from some that have listened and thanked me directly. Unfortunately it is a small percentage as the rest are abusive with foul language and for their childish responses, they deserve to lose money for their own ignorance.

My views in shares I have invested in can be bearish at times and although it creates a good discussion, there are several posters that do not or cannot see the negative views.

I therefore generally have discussions on twitter now but you get bouted out by the twitter police instead of being filtered on here.

Personally I always wish to see bearish and bullish views on these boards so everyone has a balanced view. But a balanced view gets hammered also at times.

Hence you are like me, do loads of research and trust it and ignore some of the bullish views. I find more knowledge and information from bearish views and check my own research. Being a Director of my own limited company, I generate my main research on cashflow, the balance sheet and the Directors history and holdings and see if I feel the BODs will achieve their goals.

But here, how can they suddenly get 30% profit here when historically it is around 13% a s with the ceo not investing in the placing and holding less than 3% now, how can anyone judge thi# as an investment.

Having said that, if the placing does not happen, I will be putting a huge trade in here as a huge short will have to be closed and the only way the SP could get into the pennies. With 203m shares in issue, how did 290m shares get traded on 1 day. Only chance I would ever put a penny in here!!

Yes they were and left the inexperienced to buy on the high and taking a loss. Many posters are not genuine and look after their own trades and post rubbish to sell on a high while ramping away and they disappear. Disgraceful behaviour ramping while selling

Being bullish is fine when it is backed up but seen a few here that have been and gone but it is hard to put the bearish view on these boards.

As both you say reevey & Miss G, it does not matter which market it is on. What is of interest though, on the main market Topple is on, a prospectus has to be written which pretty much shows how bad this is. The placing RNS unfortunately does not but it is clear, many do not read it.

markdods - let us see what profit/loss is made. Revenue is worthless unless it is making profit - guarantee it is still making a loss of over £1m per year on revenue of around £1.5-1.8m in the September figures. What is your view on the revenue and profit/loss? The rest doesn’t matter too much really

Raised at a huge discount? Why?

Look at the prospectus - currently less than a 15% margin on as per the last 2 years with the last 6 months showing revenue of £689k with cost of sales being £606k giving a gross profit of £83k which is 13.7% so I would ignore the CEO who HOPES for 30% - what a load of tosh. Take into account the admin costs of £770k giving a net loss of £687k. And people expect good results here?

Look at the most recent contract where I see people quoting the MCap is lower than the last contract won. The last contract is £1.2m per year and not £3.5m.

This raise was at 0.3p and expect the next raise to be around the nominal value of 0.0667p but that might be challenging next time. This time the existing shareholders were diluted by 79% to raise this money. Did anyone notice that the CEO did not participate in this placing? He was a major shareholders 2 years ago at the IPO holding 28.5% and now not even a major shareholder holding just 2.96%. Says it all really.

Read all the prospectus and am baffled why the placing happened at all even with the massive discount as it is way way too high.

But I am not the type of investor that holds onto the rubbish spouted off by CEOs on Justin Waites podcast who will only tell you the positive and many times rampish views when in reality they are hoping for it but not expecting it. They have to be over bullish to raise these funds in the first place.

This board is ideal though to identify those posters not to follow or listen to a word they say as clearly their business sense is non existent. Been spouting since the IPO at 8p it is a case of time before the administrators come in. I am surprised they got a huge placing away this time as the last one was poor. I suspect in less than a year they will get another one away at 0.0667p, again a huge huge discount where I see the SP then around 0.1p. Any lower and the nominal value will changed under consolidation.

The net money raised is £1.97m but they have to pay DB £544k next April leaving only £1.43m. Last year the loss was £1.47m and I think this year will be similar. Even though with more revenue but only achieving 15% margin, the overheads will increase by a minimum of this. So at least the lights have been kept on for another 12 months.

Hopefully those who do not know where this came from have read it. DB who made a mess of Coms set up Cube Telecoms to try again to achieve his goals which eventually got renamed into Toop with DB holding around 39% and the CEO holding 28,5% leaving a small free float and it lost 95%. The CEO did not get involved here and DB sold out. Why?

This may take a little rise on momentum but may not as it is not worth the current value of £3.1m. Before the large contract announcement on 29th, the MCap was £400k on revenue of £1.3m. The revenue has been raised by £1.2m to £2.5m which will still create a loss of at least £1m. And people think it is undervalued. Well good luck to you

Well I got away with Coms but have not on a few since but you cannot get them all right. This does and has reminded me of similar actions here and therefore encourages me to do my own research as much as possible.

There could be a consolidation in the future and could be at a higher price but does depend on increasing the revenue hugely first. Will keep watching for any future acquisitions but what can you buy for around GBP1m that will benefit the bottom line to help recover the huge overheads Toop has?

I just see some posters on Twitter thinking this will hit 3p valuing toop at GBP30m but it does make me 😂

With 950m shares in issue and at 0.4p, the MCap is currently GBP3.8m once the new shares are issued

With current contracts around GBP2m a year generating GBP400k gross profit at best will still leave this showing a yearly loss of around GBP1m

I do not expect to achieve 30 percent profit, 20 is too high and feel 10-15 percent is more accurate in this industry. With this in mind, they need to at least quadruple their current revenue to achieve breakeven. Also the huge contract gained on 29th will not benefit the company until after 6 months.

The way I read the RNS is they need this money to acquire other assets through acquisition so expect a further raise in the next 12 months of a similar value or higher if they can get away with it. But at what price. I suspect lower.

Clearly this raise was oversubscribed as it was priced so low which just shafted existing shareholders which does put the BODs as untrustworthy in my view.

Let us see what the future holds? This BB has been so quiet since it’s IPO two years ago and has created traders through the placing who will just flip it. Unfortunately, those with less experience will get shafted again as some already have who bought on the rise. This in my view will not go back above 1p as it would value this at GBP9.5m which is absolutely ridiculous for the current business it has or will have in my view over the next 12 months

Since the last RNS with the 3 year contract on the 29th, 570m shares have been traded

The placing of 733m has not even been reached and bear in mind many traders have been in play that were not involved in the placing, I would say 20% of the placing shares have been churned at the most.

This will take months to clear as volume will be considerably reduced over the next week. The only thing that will clear this quicker will be other large revenue contracts. But in my view, this will take time

Suspect some buyers are closing shorts so may be misjudging the trading activities

Yes you are right if my opinion is close, it will not stop buyers. People have been buying this since 8p two years ago and sure people will continue to buy at a 95 percent discount to IPO.

This will have high trading activity during the churn but this will be back to little volume again soon in the next few weeks or months

Suspect they will be lucky to achieve 20 percent profit even though the CEO hopes for 30 percent in his pre placing ramping RNS, no wonder he said hopefully

Looking at the figures and cost of sales, I think 20 percent is optimistic. This they need this figure to cover admin costs

But as volume increases, so will the admin costs. With only around GBP2m of existing revenue, there is a long way to go so currently I do not yet see this as a recovery stock. Would like to see forecast yearly revenue around GBP10m before I put a quid in this

But no surprise here as many times many have been warned of not listening to the rampers like camkite

Sorry Camkite I did not look at the hourly when you bought and guessed at 0.8p so apologies in that as I did not check enough.

I do not see the GBP3.5m over 3 years not being true. The Merlin software is now owned by DB which he has made a fortune from and is pretty much worthless.

But like Degsy pointed out earlier they are hoping for a 30% gross profit and with admin costs over GBP1.5m does not look good. With no benefit for 6 months but after that generating hopefully 30 percent profit based on GBP1.2m per year. So 30 percent is around GBP300k with cost of sales GBP900k will only reduce the losses by GBP300k. But I suspect they will be lucky to get 20 percent in this competitive market.

So let us keep the cash burn at GBP100k for 6 months plus with no cash. Even after the huge dilution to keep the lights on probably then creating an MCap at GBP2m with around 400m shares in issue with an SP around 0.5p after dilution around 0.3-0.5p. These monies will only last 6-9 months and still losing GBP1m.

Clearly MissG and myself see things differently to yourself. I fully understand you being positive as looking at your posts you bought around 0.8p. I suspect MissG sees this as a placing ramp by the BOD to raise funds which I see is clear to me.

This company is all based on Merlin software owned by DB which is worth around GBP100k which DB made loads from Coms and TOOP on top of his investment here which he has now sold.

I hope I am wrong but I suspect not and you do not lose too much money. I see the placing at 0.5p top end but still see 0.3p or there abouts. This still is keeping the lights on as revenue from the latest contract will not be beneficial until next year while the cash burn is still GBP80 to 100k per month and the company is skint.

This does have the possible potential recovery play but with my figures, I personally see little hope but good luck

Seen these type of shares being ramped on twitter by the large traders but to the detriment of naive investors. As MissG has already said, hope it saves at least one potential investor losing money. I still see the administrators being called in before it recovers as the current BOD have lost 90 percent of their own doing.
