Hairong.com noticed that on the evening of December 15, 2022, Hainan Mining announced that Hainan Xingzhihai New Materials Co., Ltd., a wholly-owned subsidiary of the company, held a groundbreaking ceremony for the battery-grade lithium hydroxide project (Phase I).

The announcement shows that the project plans to build a 20,000-ton/year monohydrate lithium hydroxide production line, warehouses and supporting public facilities, with a total investment of 1.056 billion yuan, including 900 million yuan in fixed assets, and a construction period of 15-18 months. The project will rely on the taxation and other preferential policies of Hainan Free Trade Port and Yangpu Development Zone, with the help of the convenient transportation conditions of Yangpu Port, and through the integration of advanced technology and equipment in the industry, the company will accelerate the construction of a new energy industry layout.

Recently, Hainan Mining (601969) announced that Xinmao Investment, a wholly-owned subsidiary of the company, intends to sign an additional issuance agreement and The capital increase agreement and the related shareholder relationship agreement intend to subscribe for 14.81% of the additional shares issued by KOD to Xinmao Investment through cash of US$17.75 million; To provide loans, Xinmao Investment intends to provide KMUK with a shareholder loan of US$5.66 million (the above merger is referred to as "the transaction").

Bougouni lithium mine project

According to the data, KOD is a British listed company focusing on the exploration and development of lithium mines in West Africa, especially in Mali. Its core project is the Bougouni lithium mine project, and it also has multiple gold mine exploration rights in Mali and Côte d'Ivoire. The main product of the Bougouni lithium mine project is spodumene. The project consists of three mining areas, Sogola Baoule, Ngoualana and Boumou, with a total ore resource of 21.31 million tons and an average lithium oxide grade of 1.11%.

In May 2017, Suay Chin International Pte Ltd (KOD's current largest shareholder) and KOD signed the "Bougouni (Bougouni) Lithium Mine Project Spodumene Sales Binding Term Sheet", agreeing that within three years after the project is put into production, Suay Chin International Pte Ltd will Enjoy the priority of underwriting lithium concentrate products with KOD not less than 80%.

It is reported that KMUK is newly established for this transaction. According to the relevant arrangements of the capital increase agreement signed by Xinmao Investment and KMUK, after the completion of this transaction, KOD will transfer all the mining rights and prospecting rights of the Bougouni lithium mine in Mali to the Transfer of rights to KMUK.

The price of this transaction is based on the conclusion of the valuation report, combined with the actual situation of the project, and after friendly negotiation between the two parties, the 14.81% stake in KOD is priced at US$17.75 million, and the 51% stake in KMUK is priced at US$94.34 million. After the transaction is completed, KMUK will hold all the exploration rights of the Bougouni lithium mine through its subsidiary Future Mineral in accordance with the requirements of the Mali law, and establish a new subsidiary to hold the mining rights of the Bougouni lithium mine; the Mali government has 10 shares of the subsidiary %-20% right.

Hainan Mining said that according to the company's 14th five-year strategic plan, the upstream industry of new energy with lithium resources as the core will be the focus of the company's strategic transformation. Newby, I'm not 100% sure. They could keep us hanging on and issue the notification at a later date in a larger RNS. They have stipulated a very clear 10 day timeline for the payment. It will be in their best interest to release the news as it may imply that the deal has fell through if they don't. We'll find out in 7 days or less.
