New to LSE and for disclosure, I am long TLW.
Under DTR, major holders need to disclose shareholdings, as we know, the key thresholds reflect voting rights. Auson is correct; if Samuel was loaning out stock, and another entity was shorting ie selling & and then delivering stock back to him at a pre-arranged time, he would no longer be holder of record for that time and therefore would need to disclose changes
