Notice is hereby given that the eighth Annual General
Meeting (“AGM”) of McColl’s Retail Group plc (the
“Company”) will be held on Tuesday, 31 May 2022 at 10.30am
at Ground Floor West, One London Road, Brentwood,
Essex CM14 4QW to transact the business set out in the
resolutions below.
Voting on all resolutions will be by a poll to ensure that every
vote is recognised, including the votes of shareholders who are
unable to attend the meeting but who have appointed a proxy
to vote on their behalf. Shareholders have one vote for each
ordinary share held when voting on a poll. A poll provides a
more accurate reflection of shareholder views than votes taken
on a show of hands. The results of the voting will be announced
through a Regulatory Information Service and will be
published on www.mccollsplc.co.uk/investors/reports-andpresentations as soon as reasonably practicable thereafter.
Resolutions 1 to 9 will be proposed as ordinary resolutions.
For each ordinary resolution to be passed, more than half of the
votes cast must be in favour.
Resolutions 10 to 13 will be proposed as special resolutions.
For each special resolution to be passed, at least three-quarters
of the votes cast must be in favour.

Annual General Meeting 2022
I am pleased to enclose the Notice of Meeting for McColl’s Retail Group plc’s eighth Annual
General Meeting (“AGM”).
We are looking forward to welcoming shareholders to our 2022 AGM which will be held
on Tuesday, 31 May 2022, at 10.30am at the Company’s registered office, within safety
constraints and in accordance with government guidelines. Please do not attend the AGM
in person if you have symptoms that may be caused by COVID-19, or if you have tested
positive for COVID-19.
We want to ensure that we are able to adapt these arrangements efficiently to respond to
changes in circumstances, should it be necessary to do so. On this basis, should the situation
change such that we consider that it is no longer possible for shareholders to attend the
meeting, we will notify shareholders of the change via an announcement on the Regulatory
News Service of the London Stock Exchange and any update to the position will be included
on our website at www.mccollsplc.co.uk/investors/reports-and-presentations. Should we
have to change the arrangements in this way, it is likely that we will not be in a position to
accommodate shareholders beyond the minimum required to hold a quorate meeting.

Looking very likely that 'Morrisons' wants this after all the conversions / wholesale agreement until 2027.

Its a no brainer takeover for them, saying that I'd be content with a merger too!

Or total buyout by Amazon would make good business sense too as after pantry stopped they want more market share in the groceries areana.

IF 'Morrisons' strategy is playing dirty tactics to get this cheap by giving PI's one month to exit then it don't look like it's working cause today clearly there has been steady trades coming through.
