They couldn't be issued at any lower than 0.1p because that is TM1's par value. Under the Companies Act shares cannot be issued at a discount to par despite them trying late last year - they had to issue a corrective RNS when the regulator copped on.

Then they proposed a share reorganisation for the AGM to take the par value lower, but abandoned it soon after. Speculation then was that they would have not got the required 75% to pass the special resolution.
