New, I think it depends on what the company’s articles of association say about how resolutions are passed at meetings. I am minded to go onto Companies House and buy a copy to check this point out.

FX, yes that boat has sailed now. The company has done nothing illegal in allowing a vote on show of hands. But good to know for the future!

I think it also depends on what the Articles of Association say about voting but I think there is scope for a shareholder to demand a poll on a resolution (other than on the election of the chairman of the meeting or adjournment of the meeting).

Under the Companies Act 2006, I believe the company has a choice whether to pass a resolution at a shareholders meeting using a show of hands (ie majority of hands) or by poll (which would take the voting rights of those present into account).

Voting at AGM was done by show of hands. This is legal under the Companies Act 2006. Each person attending has one vote each.

Thanks dflynch. It sure sounds like a more primative way of voting especially compared to the electronic terminals you see people using at the AGMs of FTSE companies. So it sounds like there were fewer people attending the AGM this year compared to last. Be interesting to see a video recording of proceedings if one is uploaded on the website.

Not necessary to attend to vote. Hopefully they’ve also taken proxy votes into consideration?

FFS, it’s completely normal for the company chairman to chair/compere the AGM!

I have to admit, I did expect some sort of RNS this morning before the AGM. But at least there will definitely be one post-AGM on the outcome of the resolutions tabled.
